Payment of Indemnified Amounts. Each Indemnified Person shall provide written, detailed statements to the Indemnifying Party on a monthly basis, of any expenses, costs or other liabilities for which indemnification is claimed. The Indemnifying Party shall reimburse such amounts within ten Business Days of receiving any such statement, or shall notify in writing the Indemnified Person claiming indemnification if it denies liability, and provide the reasons for the denial.
Payment of Indemnified Amounts. (a) Subject to Section 4(b), Indemnitee hereby is granted the right to receive in advance of a final, nonappealable judgment or other final, nonappealable adjudication of a Proceeding the amount of any and all expenses, including, without limitation, attorney's fees, expended or incurred by Indemnitee in connection with any Proceeding (such amounts so expended or incurred, "Advanced Amounts").

After any final judgment or award shall have been rendered by a court, arbitration board, or administrative agency of competent jurisdiction and the time for an appeal of such judgment or award has expired without an appeal being taken by any party, or after any settlement agreed to by the parties shall have been consummated, the party seeking indemnification shall forward to the other parties notice of any sums due and owing by such other parties with respect to such matter and such parties shall be required to pay all of the sums so owing to the party seeking indemnification within thirty (30) days after the date of such notice unless otherwise mutually agreed to in writing by the parties.

Payment of all other amounts, other than Advanced Expenses, shall be made no later than thirty (30) days after receipt of the written request, of the Indemnitee therefor, unless, in the case of an indemnification, a determination is made within said thirty (30) day period by:

Immediately following a Determination that the Indemnitee is entitled to indemnification hereunder or that any expenses sought hereunder by Indemnitee are reasonable, or the passage of time prescribed for making such Determination, the Company will pay to Indemnitee in cash the amount to which Indemnitee is entitled to be indemnified and/or reimbursed, as the case may be, without further authorization or action by the Board, PROVIDED, HOWEVER, that the expenses for which indemnification or reimbursement is sought have actually been incurred by Indemnitee.
