Payment of Utilities and taxes. The Lessor accepts full and sole responsibility for the payment of all taxes and for any other charges of a public nature which are or may be assessed against the property of which the Premises covered by this Lease form a part. The charges for Electricity (Power & Light), Filtered & Unfiltered water, Cooking gas, Cable television, Telephone, building watchman, any maintenance charges levied by the resident’s association and any other charges of a recurring nature save and except those covered under clause 6.1 shall be paid by the Lessee as per bills received from the relevant authorities/person. The Lessee hereby agrees to indemnify and hold the Lessor harmless from all claims, expenses, damages and liabilities of whatever nature, including legal fees, with respect to disputes related to the foregoing. Maintenance and condition The Lessee acknowledges that it has examined the Premises and furnishings and personal property and that they are in a good and habitable condition. The Lessee shall keep the Premises and furnishings and personal property in a clean and sanitary condition and in as good order and repair as they were at the commencement of this Lease, ordinary wear and tear excepted. The Lessee shall use all fixtures, appliances, and facilities in a reasonable manner. The Lessee shall dispose of all garbage in designated disposal facilities. The Lessee will pay for all damage to the Premises and repairs required due to the misuse or negligence by the Lessee or his/her guests. The Lessor will maintain the Premises and common areas in a habitable condition. The Lessor and the Lessee each agree to maintain and repair the Premises in compliance with all laws, ordinances and regulations as applicable to them. The Lessee agrees to promptly give notice to the Lessor of any required repairs or unsafe conditions and the Lessor will be afforded a reasonable period of time to complete the same.

Payment of Utilities and taxes. (a) Licensee shall at its own expense install all gas, electrical and telecommunications hookups (“Utility Hookups”) which it may need. Licensee is not entitled to any reimbursement for Utility Hookups, or their relocation, except as provided under the provisions of Section 2.3. When this License terminates or expires, Licensee may either retain all Utility Hookups it has installed or furnished at the Dock Space or leave them in place. If Licensee chooses to leave such Utility Hookups at the Dock Space, then Licensee shall leave them in good, safe and operable condition, including all disconnects, meter fittings, transformers, valves and attachments. The Licensor will remove Utility Hookups that Licensee chooses to retain from the Dock Space at Licensee’s expense. No other individual or entity is authorized to remove the Utility Hookups without Licensor’s prior written consent. If the installation of transformers and vaults are necessary for the continuation of electrical and telecommunication services, the installation costs shall be paid by Licensee.
Payment of Utilities and taxes. Tenant shall assume full responsibility for gas and electricity and water/sewer charges commencing with charges incurred after Landlord delivers the Premises to Tenant. In addition, Tenant shall be responsible and pay when due all taxes of any kind assessed against any leasehold interest or personal property of any kind, owned by or placed in, upon or about the premises by Tenant. In default of payment, Landlord may, but is in no manner required to, make any such payment, and Tenant agrees to pay Landlord for same promptly, upon demand. Landlord shall deem any such payment collectible as additional rent.

  • Payments and Taxes Any and all payments made by Borrower under this Agreement or any other Loan Document shall be made free and clear of and without deduction for any and all present or future taxes, levies, imposts, duties, deductions, withholdings, assessments, fees or other charges imposed by any governmental authority (including any interest, additions to tax or penalties applicable thereto) other than any taxes imposed on or measured by any Lender’s overall net income and franchise taxes imposed on it (in lieu of net income taxes), by a jurisdiction (or any political subdivision thereof) as a result of any Lender being organized or resident, conducting business (other than a business deemed to arise from such Lender having executed, delivered or performed its obligations or received a payment under, or enforced, or otherwise with respect to, this Agreement or any other Loan Document) or having its principal office in such jurisdiction (“Indemnified Taxes”). If any Indemnified Taxes shall be required by Law to be withheld or deducted from or in respect of any sum payable under this Agreement or any other Loan Document to any Lender, (a) an additional amount shall be payable as may be necessary so that, after making all required withholdings or deductions (including withholdings or deductions applicable to additional sums payable under this Section) such Lender receives an amount equal to the sum it would have received had no such withholdings or deductions been made, (b) Borrower shall make such withholdings or deductions, (c) Borrower shall pay the full amount withheld or deducted to the relevant taxing authority or other authority in accordance with applicable Law, and (d) Borrower shall deliver to such Lender evidence of such payment. Borrower’s obligation hereunder shall survive the termination of this Agreement.

  • Operating Expenses and Taxes Lessee and Lessor acknowledge and agree that commencing with the Second Extended Lease Term and continuing with any Extended Lease Term validly exercised thereafter, (x) the Lease provisions relating to payment of Taxes and Operating Expenses shall be converted from a Base Year computation to a straight net basis computation, and (y) Lessee shall be assuming the obligation of maintenance and repair described in Paragraph 11 below. In connection with the conversion from a Base Year to a net lease and Lessee’s assumption of the maintenance and repair obligations described in Paragraph 11 below, Lessee and Lessor wish to modify the terms and provisions of the Lease relating to Operating Expenses to account for such modifications and Lessee’s assumption of such obligations. In connection with the foregoing, Lessee and Lessor hereby acknowledge and agree that commencing on January 1, 2013, (i) the MOU shall have no further force or effect with respect to all periods from and after January 1, 2013 (the MOU shall remain in effect with respect to periods on or before December 31, 2012, except as modified by Xxxxxxxxxx 00 xxx 00 xxxxx), (xx) notwithstanding anything to the contrary contained in the Lease, Lessee’s obligations with respect to the payment of Lessee’s Percentage of Taxes and Lessee’s Percentage of Operating Expenses shall be computed without reference to a Base Year, with the effect that Lessee’s obligation for payment of Taxes during any Tax Year shall be payment of Lessee’s Percentage of the Taxes incurred with respect to such Tax Year and Lessee’s obligation for payment of Operating Expenses during any Lease Year for Operating Expenses shall be payment of Lessee’s Percentage of the Operating Expenses incurred with respect to such Lease Year for Operating Expenses, and (iii) Article 5 of the Original Lease shall be deleted in its entirety with respect to all periods from and after January 1, 2013 and replaced with the provisions of this Paragraph 10.

  • Fees and Taxes 8.1 All fees payable to Oracle are due within thirty (30) days from the invoice date. Once placed, Your order is non-cancelable and the sums paid nonrefundable, except as provided in this Agreement or Your order. The foregoing costs and expenses shall include, without duplication of Indemnified Taxes or Other Taxes paid or indemnified pursuant to Sections 3.01 and 3.04, all reasonable search, filing, recording, title insurance and appraisal charges and fees and taxes related thereto, and other out-of-pocket expenses incurred by any Agent. All amounts due under this Section 10.04 shall be paid within 30 days after invoiced or demand therefor (with a reasonably detailed invoice with respect thereto) (except for any such costs and expenses incurred prior to the Closing Date, which shall be paid on the Closing Date to the extent invoiced at least 5 Business Days prior to the Closing Date). The agreements in this Section 10.04 shall survive the termination of the Aggregate Commitments and repayment of all other Obligations. If any Loan Party fails to pay when due any costs, expenses or other amounts payable by it hereunder or under any Loan Document, such amount may be paid on behalf of such Loan Party by the Administrative Agent after any applicable grace periods have expired, in its sole discretion and the Borrowers shall, on a joint and several basis, immediately reimburse the Administrative Agent, as applicable.

  • Transfer Fees and Taxes If any of the Common Shares subscribed for are to be issued to a person or persons other than the Registered Warrantholder, the Registered Warrantholder shall execute the form of transfer and will comply with such reasonable requirements as the Warrant Agent may stipulate and will pay to the Corporation or the Warrant Agent on behalf of the Corporation, all applicable transfer or similar taxes and the Corporation will not be required to issue or deliver certificates evidencing Common Shares unless or until such Warrantholder shall have paid to the Corporation or the Warrant Agent on behalf of the Corporation, the amount of such tax or shall have established to the satisfaction of the Corporation and the Warrant Agent that such tax has been paid or that no tax is due.
