Payments; Repurchase of Stock. (1) In the event that the Employee's employment terminates for any reason, the Company shall pay to the Employee all amounts accrued but unpaid hereunder through the date of termination in respect of Salary and reimbursable expenses. In the event the Employee's employment is terminated by the Company without cause, in addition to the amounts specified in the previous sentence, the Employee shall (A) continue to receive Salary (less any applicable withholding or similar taxes) at the rate in effect on the date of termination for a period of 12 months following the termination (the Severance Term") and (B) remain eligible to participate in benefits offered in accordance with section 3(c) hereof during the Severance Term. Upon termination the Employee shall be entitled to a full program of outplacement assistance and upon completion of the Severance Term the Employee shall be entitled to COBRA coverage.

In the event the Executive's employment is terminated by the Company without Cause, in addition to the amounts specified in the foregoing sentence, the Executive shall (A) continue to receive the Salary (less any applicable withholding or similar taxes) at the rate in effect hereunder on the date of such termination periodically, in accordance with the Company's prevailing payroll practices, (B) remain eligible to participate in benefits offered in accordance with Section 3(c) hereof, in each of sub-clauses (A) and (B) for a period of (i) twelve months following the date of such termination, or (ii) the number of months remaining in the Employment Term immediately prior to such termination, whichever is longer (the "Severance Term") and (C) be entitled to receive placement services from an outplacement assistance agency selected in good faith by the Company for a period of up to six months following the date of such termination, at the expense of the Company up to a maximum limit of $25,000. Amounts owed by the Company in respect of the Salary or reimbursement for expenses under the provisions of Section 5 hereof shall, except as otherwise set forth in this Section 6(e), be paid promptly upon any termination.

  • Repurchase of Notes at the Option of the Holders upon Change of Control and Asset Sales Upon the occurrence of a Change of Control, each holder shall have the right, subject to certain conditions specified in the Indenture, to cause the Issuer to repurchase all or any part of such holder’s Notes at a purchase price in cash equal to 101% of the principal amount thereof, plus accrued and unpaid interest, if any, to the date of repurchase (subject to the right of the holders of record on the relevant Record Date to receive interest due on the relevant Interest Payment Date), as provided in, and subject to the terms of, the Indenture.   • Release of Shares From Repurchase Option (a) 25% of the Shares shall be released from the Company’s repurchase option one year after the date of this Agreement, 25% of the Shares shall be released from the Company’s repurchase option two years after the date of this Agreement, 25% of the Shares shall be released from the Company’s repurchase option three years after the date of this Agreement, and the remaining 25% of the Shares shall be released from the repurchase option four years after such date, subject to Director continuing to be a Service Provider on such dates.

  • Conditions to Issuance of Stock Certificates The shares of stock deliverable upon the exercise of the Option, or any portion thereof, may be either previously authorized but unissued shares or issued shares which have then been reacquired by the Company. Such shares shall be fully paid and nonassessable. The Company shall not be required to issue or deliver any certificate or certificates for shares of stock purchased upon the exercise of the Option or portion thereof prior to fulfillment of all of the following conditions:

  • Additional Conditions to Issuance of Stock If at any time the Company will determine, in its discretion, that the listing, registration or qualification of the Shares upon any securities exchange or under any state or federal law, or the consent or approval of any governmental regulatory authority is necessary or desirable as a condition to the issuance of Shares to Participant (or his or her estate), such issuance will not occur unless and until such listing, registration, qualification, consent or approval will have been effected or obtained free of any conditions not acceptable to the Company. The Company will make all reasonable efforts to meet the requirements of any such state or federal law or securities exchange and to obtain any such consent or approval of any such governmental authority. Assuming such compliance, for income tax purposes the Exercised Shares will be considered transferred to Participant on the date the Option is exercised with respect to such Exercised Shares.
