Payments Unconditional. In no event shall an asserted violation of the provisions of this Agreement or any other obligation, covenant or agreement constitute a basis for deferring or withholding any amounts otherwise payable to the Executive under this Agreement, the Employment Agreement or the Indemnification Agreement.
Payments Unconditional. LESSEE HAS EXAMINED, TESTED AND ACCEPTED THE VEHICLES COVERED BY THIS LEASE AND SCHEDULES, AND SUBJECT ONLY TO AN EVENT OF NON-APPROPRIATION, LESSEE’S OBLIGATION TO PAY RENT AND OTHER PAYMENTS HEREUNDER SHALL BE ASOLUTE AND UNCONDITIONAL AND NOT SUBJECT TO ANY ABATEMENT, SET-OFF, DEFENSE OR COUNSELCLAIM FOR ANY REASON WHATSOEVER, REGARDLESS OF LOSS, DAMAGE, DESTRUCTION, MALFUNCTION OR DISREPAIR OF THE EQUIPMENT, OR DISPUTE WITH THE MANUFACTURER OR SUPPLIER OF THE VEHICLES OR FOR ANY OTHER REASON.
Payments Unconditional. PPC's obligation to pay Rent and make other payments, and perform any obligations, owed to the Lessor pursuant to or in connection with this Agreement or any of the other Lease Documents to which it is a party shall be absolute and unconditional and shall not be affected by and shall be irrespective of any contingency whatsoever including (but not limited to):
Payments Unconditional. The Lessee's and the Sub-Lessee's obligations to make any payments under this Agreement shall be absolute and unconditional and shall not be affected by and shall be irrespective of any contingency whatsoever including (but not limited to): 8.2.1 any right of set-off, counterclaim, recoupment, defence, deduction, withholding or other right, save as the same may be required by law; 8.2.2 any unavailability of the Equipment for any reason, including, but not limited to, requisition thereof, or any prohibition or interruption of or other restriction against the use, operation or possession of the Equipment by the Standby Purchaser, the Lessee, the Sub-Lessee, Enterprise or any other Field Contractor or any other person's use, operation or possession of the Equipment, any interference with such use, operation or possession or failure to deliver any part of the Equipment or any lack or invalidity of title or any other defect in the title, suitability, merchantability, fitness for any purpose, condition, appearance, safety, design, or operation of any kind or nature of the Equipment, or the ineligibility of the Equipment for any particular use or trade, or for want of registration or the absence or withdrawal of any permit, licence, authorisation or other documentation required under the applicable law of any relevant jurisdiction for the ownership, leasing, use, operation or location of the Equipment or any part thereof or, subject to clause 10.1, the Total Loss of, or any damage to, the Haewene Brim or the Equipment or any part thereof; 8.2.3 any insolvency, bankruptcy, winding-up, administration, reorganisation, reconstruction, arrangement, readjustment or rescheduling of debt, dissolution, liquidation or similar proceedings by or against any persons; 8.2.4 any invalidity or unenforceability or lack of due authorisation of, or other defect in, this Agreement or any of the other Transaction Documents or any particular provision hereof or thereof;
Payments Unconditional. The Lessee's obligation to pay Rent and make other payments, and perform any obligations, owed to the Lessor pursuant to or in connection with this Agreement or any of the other Relevant Lease Documents to which it is a party shall, subject to Clause 23.1, be absolute and unconditional and shall not be affected by and shall be irrespective of any contingency whatsoever including (but not limited to):

The Sub-Lessee's obligation to pay Rentals and make other payments, and perform any obligations owed to the Sub-Lessor pursuant to or in connection with this Sub-Lease shall be absolute and unconditional and shall not be affected by and shall be irrespective of any contingency whatsoever including (but not limited to):
Payments Unconditional. If any payment due hereunder is not received within ten (10) days of its due date, Customer agrees to pay a late fee equal to the lesser of: (i) 5% of the past due amount or (ii) the highest amount allowed by law. CUSTOMER AGREES THAT ITS OBLIGATIONS TO MAKE PAYMENTS UNDER THIS IPA ARE ABSOLUTE AND UNCONDITIONAL AND SHALL NOT BE SUBJECT TO ANY ABATEMENT, SETOFF, CLAIM, COUNTERCLAIM, ADJUSTMENT, REDUCTION OR DEFENSE OF ANY KIND. NOTWITHSTANDING ANY PROVISIONS HEREOF, INTEREST, FEES AND OTHER CHARGES SHALL NOT EXCEED THE MAXIMUM RATE PERMITTED BY APPLICABLE LAW. Payee has not assumed and shall not be liable to perform any obligations of the Licensor.
Payments Unconditional. The Borrower hereby unconditionally promises to pay to the Administrative Agent for the account of each Lender the then unpaid principal amount of each Loan on the Maturity Date.
Payments Unconditional. Lessee has examined, tested and accepted the vehicles covered by this lease and schedules, and subject only to an event of non-appropriation, lessee’s obligation to pay rent and other payments hereunder shall be absolute and unconditional and not subject to any abatement, set-off, defense or counterclaim for any reason whatsoever, regardless of loss, damage, destruction, malfunction or disrepair of the equipment, or dispute with the manufacturer or supplier of the vehicles or for any other reason.
Payments Unconditional. This Lease shall be a net lease, and Xxxxxx's obligation to pay all rent and other sums thereunder, and the rights of Lessor in and to such payments, shall be absolute and unconditional, and shall not be subject to any abatement, reduction, setoff, defense, counter claim, interruption, deferment or recoupment, for any reason whatsoever, except for Lessor's failure to maintain and repair the Equipment, as described in Section 2.1. Any nonpayment of Rent or other amounts payable under any Lease shall result in Xxxxxx's obligation to promptly pay Lessor as additional Rent on such overdue payment, for the period of time during which it is overdue (without regard to any grace period), interest at the rate set forth in the Texas Prompt Payment Act, Texas Government Code Chapter 2251, as hereafter amended.
