Permits and Licenses; Compliance. To the Guarantor’s Knowledge, the Company obtained, holds and maintains all permits and licenses which are required, if any, under applicable public laws (öffentliches Recht) in order to conduct the business as presently conducted. There are no written threats of any revocation or restriction or subsequent orders (nachträgliche Anordnungen) relating to any such permits or licenses which would materially affect the business of the Company as a whole. To the Guarantor’s Knowledge, the Company has conducted its business in compliance with all material provisions of such permits and licenses and applicable Laws.
Permits and Licenses; Compliance. To the best of its knowledge, Collabria possesses and, at the Closing, will transfer and assign to CLRI all necessary governmental licenses, franchises, permits, approvals, authorizations, and rights necessary for CLRI to continue to market and sell the ReadyMed Platform to new customers. To the best of its knowledge, Collabria is in compliance with all such governmental licenses, franchises, permits, approvals, authorizations, or rights, and all federal, state or local laws or regulations applicable to the ReadyMed Platform except where the failure to be in compliance would not reasonably be expected to have a material adverse effect on the ReadyMed Platform or the intended use thereof by CLRI.
Permits and Licenses; Compliance. NEAI possesses any required governmental licenses, franchises, permits, approvals, authorizations, and rights, whether federal, state, local or foreign. NEAI is in compliance with any such governmental licenses, franchises, permits, approvals, authorizations, or rights, and all federal, state or local laws or regulations now applicable or reasonably expected to be applicable to it.
Permits and Licenses; Compliance. To the best of its knowledge, Repro-Med possesses all necessary governmental licenses, franchises, permits,approvals, authorizations, and rights necessary for IPI to engage in the marketing of the Gyneco Products and that, if not possessed, could not reasonably be expected to have a material adverse effect on the Assets and Rights or the intended use thereof by IPI. To the best of its knowledge, Repro-Med is in compliance with all such governmental licenses, franchises, permits, approvals, authorizations, or rights, and all federal, state or local laws or regulations applicable to the Assets except where the failure to be incompliance would not reasonably be expected to have a material adverse effect on the Assets or the intended use thereof by IPI.
Permits and Licenses; Compliance. Except as set forth and identified on Exhibit 5.17 of the Schedule, each Company has all material Permits required to carry on its business as now conducted and is in compliance in all material respects therewith. No material violation of any Law (including without limitation that relating to building, zoning, city planning, health, fire, occupational safety, equal opportunity, improper payments or fair labor practice) or Judgment exists with respect to the properties, assets or business of any Company. Neither Seller nor any Company has received any written notice of any such violation, nor to the best of Seller's knowledge, has any Company been threatened with the receipt of notice of any such violation. Each Company has filed all reports and returns required to be filed by it with all Governmental Bodies with respect to any material Permit and has complied in all material respects with the requirements of such reports and returns.

To the best of her knowledge, CDP possesses all necessary governmental licenses, franchises, permits, approvals, authorizations, and rights necessary for VTI to engage in the marketing of the System and that, if not possessed, could not reasonably be expected to have a material adverse effect on the Assets and Rights or the intended use thereof by VTI. To the best of her knowledge, CDP is in compliance with all such governmental licenses, franchises, permits, approvals, authorizations, or rights, and all federal, state or local laws or regulations applicable to the Assets except where the failure to be in compliance would not reasonably be expected to have a material adverse effect on the Assets or Rights or the intended use thereof by VTI.
Permits and Licenses; Compliance. To the best of its knowledge, Collabria possesses and, at the Closing, will transfer and assign to CLRI all necessary governmental licenses, franchises, permits, approvals, authorizations, and rights necessary for CLRI to continue to market and sell the ReadyOp Platform to new and existing customers, and to continue the client relationship with the Collabria Clients and that, if not possessed, could not reasonably be expected to have a material adverse effect on the ReadyOp Platform and Collabria Client List or the intended use thereof by CLRI. To the best of its knowledge, Collabria is in compliance with all such governmental licenses, franchises, permits, approvals, authorizations, or rights, and all federal, state or local laws or regulations applicable to the ReadyOp Platform and Collabria Clients except where the failure to be in compliance would not reasonably be expected to have a material adverse effect on the ReadyOp Platform or the intended use thereof by CLRI.

To the best of its knowledge, ADM possesses all necessary governmental licenses, franchises, permits, approvals, authorizations, and rights necessary for NEAI to engage in the marketing of the ADM Products and that, if not possessed, could not reasonably be expected to have a material adverse effect on the Assets and Rights or the intended use thereof by NEAI. To the best of its knowledge, ADM is in compliance with all such governmental licenses, franchises, permits, approvals, authorizations, or rights, and all federal, state or local laws or regulations applicable to the Assets except where the failure to be in compliance would not reasonably be expected to have a material adverse effect on the Assets or the intended use thereof by NEAI.
Permits and Licenses; Compliance. NEAI possesses all necessary governmental licenses, franchises, permits, approvals, authorizations, and rights, whether federal, state, local or foreign, that are necessary for NEAI to engage in its business and that, if not possessed, could reasonably be expected to have a material adverse effect on the condition of NEAI financial or otherwise) or on its assets, properties or prospects. NEAI is in compliance with all such governmental licenses, franchises, permits, approvals, authorizations, or rights, and all federal, state or local laws or regulations applicable to its business except where the failure to be in compliance could not reasonably be expected to have a material adverse effect on the condition of NEAI (financial or otherwise) or on its assets, properties or prospects.
Permits and Licenses; Compliance. Except as set forth in Exhibit 5.13, PGSPar and PGS and/or its subsidiaries hold all required Permits from all governmental or regulatory or environmental authorities which are necessary to conduct PGSPar and PGS and/or its subsidiaries' business. On this date, all of such Permits are in full force and effect for each of the restaurants operated by PGSPar and PGS or by its subsidiaries, and Sellers will endeavor their best efforts to maintain such Permits in full force and effect. PGSPar and PGS and/or its subsidiaries are in compliance with applicable statutes, laws, rules, regulations, orders, ordinances, judgments, and decrees of all governmental and regulatory authorities, including zoning laws (collectively, "Law" or "Laws") and the terms of the Permits used in connection with their business. There are no legal restrictions, of any nature, regarding the preparation and selling of PGSPar and PGS and/or its subsidiaries' products.
