Personnel to Provide Services. (a) The Provider will make available to SplitCo, on a non-exclusive basis, the appropriate personnel (excluding the Executive, the “Personnel”) to perform the Services. The Personnel made available to perform selected Services are expected to be substantially the same personnel who provide similar services in connection with the management and administration of the business and operations of the Provider. (b) SplitCo acknowledges that: (i) certain of the Personnel also will be performing services for the Provider, Qurate, LBC, LTAH and/or other companies, from time to time, including certain Subsidiaries and Affiliates (each as defined below) of each of the foregoing, in each case, while also potentially performing services directly for SplitCo and certain of its Subsidiaries and Affiliates under a direct employment, consultancy or other service relationship between such Person (as defined below) and SplitCo and irrespective of this Agreement; and (ii) the Provider may elect, in its discretion, to utilize independent contractors rather than employees of the Provider to perform Services from time to time, and such independent contractors will be deemed included within the definition of “Personnel” for all purposes of this Agreement.

Personnel to Provide Services. (a) The Provider will make available to the Corporation on a non-exclusive basis, the appropriate personnel to perform the Services, as may be reasonably requested by the Corporation to be performed by the Provider and as necessary and appropriate for the proper and efficient administration and operation of the business and operations of the Corporation, to the extent and in a manner similar to that performed for the Provider in the operation of its business and operations. The Provider will be responsible for hiring, supervising, instructing, discharging, and otherwise managing all Provider Employees, and for administering any employee benefit plans applicable to such employees. (b) The Corporation acknowledges that: (i) the Provider Employees also will be performing services for the Provider and may be performing services for certain Affiliates of the Provider; and (ii) the Provider may elect, in its discretion and consistent with the prior conduct of Provider, to utilize independent contractors rather than employees of the Provider to perform the Services from time to time, and such independent contractors will be included within the definition of the Provider Employees under this Agreement, where applicable.

(b) Company acknowledges that: (i) Except as specified in Section 4.1(a) above, the employees of Provider performing the Services for Company and its Subsidiaries (“Provider Employees”) also will be performing services for Provider and may be performing services for certain Affiliates of Provider; and (ii) Provider may elect, in its discretion, to utilize independent contractors rather than employees of Provider to perform the Services from time to time, and such independent contractors will be included within the definition of Provider Employees under this Agreement, where applicable.

The Company acknowledges that the employees of Provider performing the Services for the Company ("Non-Exclusive Employees") also will be performing services for Provider and may be performing services for certain Affiliates of Provider. The Company also acknowledges that Provider may elect, in its discretion, to utilize independent contractors rather than employees of Provider to perform the Services from time to time, and such independent contractors will be included within the definition of Non-Exclusive Employees under this Agreement, where applicable.

(b) CH Parent acknowledges that: (i) certain of the Personnel also will be performing services for the Provider, LIC, LTAH, LBC and/or other companies, from time to time, including certain Subsidiaries and Affiliates of each of the foregoing, in each case, while also potentially performing services directly for CH Parent and certain of its Subsidiaries and Affiliates under a direct employment, consultancy or other service relationship between such Person and CH Parent and irrespective of this Agreement; and (ii) the Provider may elect, in its discretion, to utilize independent contractors rather than employees of the Provider to perform Services from time to time, and such independent contractors will be deemed included within the definition of “Personnel” for all purposes of this Agreement.
Personnel to Provide Services. (a) The Provider will make available to LMAC, on a non-exclusive basis, certain employees, independent contractors or other personnel engaged by Provider (the “Personnel”) to perform the Services. (b) LMAC acknowledges that certain of the Personnel also will be performing services for the Provider, Qurate, LBC, LTAH and/or other companies, from time to time, including certain Subsidiaries and Affiliates of each of the foregoing, in each case, while also potentially performing services directly for LMAC irrespective of this Agreement.

(b) Starz acknowledges that: (i) any Attributed Employee providing Services may also be performing (x) similar services for Liberty Interactive; (y) services to the Provider in his or her capacity as an officer, employee or consultant of the Provider; and (z) services for certain Subsidiaries and Affiliates of the Provider or Liberty Interactive, in each case, while also potentially performing services directly for Starz and certain of its Subsidiaries and Affiliates under a direct employment, consultancy or other service relationship between such person and Starz and irrespective of this Agreement; and (ii) the Provider may elect, in its discretion, to utilize independent contractors rather than officers, employees or consultants of the Provider to perform some or all of the Services for Starz from time to time, and such independent contractors will be deemed included within the definition of “Attributed Employees” for all purposes of this Agreement.

(b) PHPC acknowledges that certain of the Personnel also will be performing services for the Provider and/or other companies, from time to time, including certain Subsidiaries and Affiliates of each of the foregoing, in each case, while also potentially performing services directly for PHPC irrespective of this Agreement.

(b) Republic Wireless acknowledges that: (i) certain of the Personnel also will be performing services for Bandwidth and/or other companies, from time to time, including certain Subsidiaries and Affiliates of Bandwidth, in each case, while also potentially performing services directly for Republic Wireless and certain of its Subsidiaries and Affiliates under a direct employment, consultancy or other service relationship between such Person and Republic Wireless and irrespective of this Agreement; and (ii) Bandwidth may elect, in its discretion, to utilize independent contractors rather than employees of Bandwidth to perform Services from time to time, and such independent contractors will be deemed included within the definition of “Personnel” for all purposes of this Agreement.
