POST-TRANSITION SERVICES. (a) In the event that Operator requires support services (“Post-Transition Services”) after the Transfer of Operational Control Date, it shall provide Tacoma Power written notice of the services it requires, and, subject to meeting the conditions in this Section, Operator and Tacoma Power shall within a reasonable time thereafter enter into a services agreement for the Post-Transition Services requested (“Agreement for Post-Transition Services”). The Agreement for Post-Transition Services shall be on Tacoma Power’s standard terms and conditions and will also describe in detail the service, project scope, fees and term for the Post-Transition Services. Tacoma Power’s obligation to enter into an Agreement for Post-Transition Services and to provide Post-Transition Services is expressly contingent on Tacoma Power having adequate staffing and resources to provide the Transition Services requested, as determined by Tacoma Power in its sole discretion. Operator agrees to use its reasonable efforts to reduce or eliminate its dependency on the Post-Transition Services as soon as is reasonably practicable. Operator’s right to request Post-Transition Services shall expire on the first (1st) anniversary of the Effective Date.

POST-TRANSITION SERVICES. (i) External System Development Services. VLT and AWI will notify EDS, in writing, prior to March 15, 1997, if VLT and AWI want EDS to continue providing the system development services currently provided to VLT and AWI by EDS' Development Center in Camp Hill, Pennsylvania (the "External System Development Services") after April 15, 1997. As part of the foregoing notice, VLT and AWI will specify the period of such requested service, which shall in no event extend beyond August 31, 1997.

POST-TRANSITION SERVICES. After transition of the Services to TXUED or its designee(s), Vendor shall provide additional assistance as reasonably requested by TXUED for the continuity of operations.   • Transition Services The Purchasers will provide to the Sellers termination assistance as reasonably requested in order to provide an orderly transition following the termination of the Agreement (or any portion thereof), and the Sellers will provide to the Purchasers reasonable cooperation and assistance in connection therewith. In connection with this transition assistance, the Purchasers and Sellers will reasonably cooperate in the transition of the Services from the Purchasers to any Replacement Provider. A Probation and Parole Officer (PO) will determine the specific services to be provided to each offender based on the offender’s needs and individualized case plan as determined or developed by the State. The referring PO will complete an agreed upon referral form designating the services selected. Contractor will confirm availability of services, establish a start date, and return the referral form to the PO and the designated State staff.
