Powers and Obligations of The Trustee. Section 3.01. During the term of this Agreement, the Trustee shall exercise all voting rights and powers of a shareholder of the Corporation in respect of the shares held by the Trustee hereunder. The Trustee, in his discretion, shall have the right to vote in favor of or against any action or resolution presented to the voting shareholders of the Corporation or to express consent or dissent to any action in writing without a meeting, as the Trustee shall deem appropriate, and shall not be subject to the direction of holders of the Trust Certificates.
