Pre-Shipment Review. Each spacecraft shall undergo a Pre-Shipment Review, including as a minimum the following assessments: • Test Result Compliance Summary • Reconciliation between the ‘As built’ and ‘As Designed’ configurations • Summary of ‘Open Items’ • Review of status of other Product Assurance control procedures including Waivers, Deviations, NCR’s, mate/demate logs etc. A Pre-Shipment Review will be deemed to be successfully completed upon the completion and acceptance by Inmarsat of resolution of all major action items. At the Pre-Shipment Review Inmarsat shall notify the Contractor if the Spacecraft is to be shipped to the Launch site or placed into storage.

Pre-Shipment Review. OHB will convene a Pre-Shipment review as described in the statement of work for the CDS and Spacecraft Bus Simulator to be delivered under this Agreement. OHB will advise ORBCOMM in writing at least 45 days in advance of the anticipated Pre-Shipment review. ORBCOMM and ORBCOMM designated consultants shall be permitted to attend the Pre-Shipment review. At the Pre-Shipment review OHB will provide to ORBCOMM confirmation and certification that the CDS and Spacecraft Bus Simulator being reviewed conform to all requirements of the specifications and statement of work and will further provide to ORBCOMM copies of all Qualification and Acceptance Test reports and results and all required governmental licenses, approvals or other authorizations. OHB may not ship the CDS and the Spacecraft Bus Simulator to be delivered under the terms of this Agreement until such time as ORBCOMM has accepted the item(s) pursuant to the Pre-Shipment review. Pre-Shipment reviews shall be conducted in like manner for all option items ordered under this agreement.
Pre-Shipment Review. Contractor shall complete a pre-shipment review of each Satellite, which covers a summary of all the testing completed on the Satellite, and resolution of all non-conformances (if any) encountered during the production and testing of the Satellite, as set forth in Exhibit A (“PSR”). Following a successfully completed PSR for a Satellite, Contractor shall sign and provide to Globalstar a PSR acceptance certificate. Globalstar may either: (a) countersign the PSR acceptance certificate, which shall deem the Satellite “Available for Shipment,” and provide directions for shipment to a Launch Site, storage, or other destination; or (b) identify to Contractor the grounds for objecting to the PSR.   • Contract Review Agent shall have reviewed all material contracts of Borrowers including, without limitation, leases, union contracts, labor contracts, vendor supply contracts, license agreements and distributorship agreements and such contracts and agreements shall be satisfactory in all respects to Agent;

  • Document Review The Company and the Executive hereby acknowledge and agree that each (i) has read this Agreement in its entirety prior to executing it, (ii) understands the provisions and effects of this Agreement, (iii) has consulted with such attorneys, accountants and financial and other advisors as it or he has deemed appropriate in connection with their respective execution of this Agreement, and (iv) has executed this Agreement voluntarily and knowingly.

  • Completion of Review for Certain Review Receivables Following the delivery of the list of the Review Receivables and before the delivery of the Review Report by the Asset Representations Reviewer, the Servicer may notify the Asset Representations Reviewer if a Review Receivable is paid in full by the Obligor or purchased from the Issuer in accordance with the terms of the Basic Documents. On receipt of such notice, the Asset Representations Reviewer will immediately terminate all Tests of the related Review Receivable, and the Review of such Review Receivables will be considered complete (a “Test Complete”). In this case, the related Review Report will indicate a Test Complete for such Review Receivable and the related reason.

  • Independent Review Each of the parties hereto has reviewed this Release with its own counsel and advisors.

  • Performance Review The Company will periodically review Executive’s performance on no less than an annual basis and will make adjustments to salary or other compensation, as they deem appropriate in their sole and absolute discretion.

  • Periodic Review The Compensation Committee or the Board of Directors of the Company shall review Executive's Base Salary and Benefits (as defined below) from time to time in accordance with the normal business practices of the Company. The Company may in its sole discretion increase the Base Salary during the Term. The amount of any increase combined with the previous year's Base Salary shall then constitute Executive's Base Salary for purposes of this Agreement.

  • Acceptance Testing The MCP must have the capability to report all elements in the Minimum Data Set as set forth in the ODJFS Encounter Data Specifications and must submit a test file in the ODJFS-specified medium in the required formats prior to contracting or prior to an information systems replacement or update. Acceptance testing of encounter data is required as specified in Section 29(a)(v) of this Appendix.

  • Project Completion Within five (5) days after the delivery by Supplier to Purchaser of a Commissioning Certificate for the Project’s final Turbine, Supplier shall also deliver to Purchaser a completion certificate for all Turbines in the Project (the “Project Completion Certificate”), in the form attached hereto as Exhibit N, together with a list of any remaining Punch List Work on any Turbine, a schedule for completing the Punch List Work and an estimate of the cost of each item of Punch List Work. Supplier shall thereafter promptly complete all Punch List Work.

  • Performance Tests Contractor shall perform Performance Tests in accordance with Section 11.2 of the Agreement and Attachment S.

  • Commissioning preparation of a system or systems to allow hydrocarbons or other process fluids to be safely introduced into the system or systems for processing. In this phase testing will focus on systems, including utilities.
