PRECEDENCE OF TERMS. The following General Terms and Conditions VENDORS MANUAL, APPLICABLE LAWS AND COURTS, ANTI-DISCRIMINATION, ETHICS IN PUBLIC CONTRACTING, IMMIGRATION REFORM AND CONTROL ACT OF 1986, DEBARMENT STATUS, ANTITRUST, MANDATORY USE OF STATE FORM AND TERMS AND CONDITIONS, CLARIFICATION OF TERMS, PAYMENT shall apply in all instances. In the event there is a conflict between any of the other General Terms and Conditions and any Special Terms and Conditions in this solicitation, the Special Terms and Conditions shall apply.
PRECEDENCE OF TERMS. A. In the event of an inconsistency between the Request for Quotes, the Contract Terms and Conditions, other included documents, or the Federal Transit Administration (FTA) Master Agreement and state procurement law, the inconsistency shall be resolved by the following order of precedence:
1. Federal Transit Administration Master Agreement (25) (October 1, 2018) and FTA Circular 4220.IF, dated November 1, 2008, as amended;
2. Virginia’s Public Procurement Act, as amended;
3. Request for Quotes;
PRECEDENCE OF TERMS. Paragraphs A-J of these General Terms and Conditions shall apply in all instances. In the event there is a conflict between any of the other General Terms and Conditions and any Special Terms and Conditions in this solicitation, the Special Terms and Conditions shall apply.

PRECEDENCE OF TERMS. 2.1 The Proposal is subject to these standard terms, except to the extent that the Proposal expressly modifies any term in relation to the subject of the Proposal.
2.2 These Terms shall not be superseded or replaced by any terms contained in any other document presented by You as your purchase order, unless agreed to in writing by Xxxxxxxxx.

Sales of the Products pursuant to the Purchase Orders shall be governed by this Agreement and the Manufacturer's Standard Terms of Sale (the "Standard Terms") as they may be in effect from time to time, which may be changed by Manufacturer in its sole discretion. Manufacturer shall give to Distributor notice in writing of any material change in such Standard Terms prior to such change taking effect. To the extent that there is a conflict or inconsistency between the terms of this Agreement and the Standard Terms, the terms of this Agreement shall take precedence.
PRECEDENCE OF TERMS. Paragraphs 1, 2, 3, 7, 8, 9, 13, 15, 18, and 19 of these General Terms and Conditions shall apply in all instances. In the event there is a conflict between any of the other General Terms and Conditions and any Special Terms and Conditions in this solicitation, the Special Terms and Conditions shall apply.
PRECEDENCE OF TERMS. In the event of any conflict between or among the provisions of this Agreement, the Additional Licensing Terms, the Quote, and/or the Channel Partner Agreement (the “Additional Documents”), the document that is higher in the following list will take precedence:
(a) the Quote;
(b) the Additional Licensing Terms;
(c) the Channel Partner Agreement to the extent it explicitly states it takes precedence over this Agreement; and
(d) this Agreement.
