Preferred Contribution; Preferred Return. (a) Simultaneously with each sale of Series G Preferred Shares under the Underwriting Agreement, the Trust shall contribute all of the proceeds of such sale received by the Trust to the Partnership in consideration of the issuance of the related equal number of Units of Series G Preferred Interest. Notwithstanding the foregoing, for the purposes of this Agreement, the amount of such contribution shall be deemed to be an amount equal to the gross proceeds of such sale (the "Preferred Contribution").

Preferred Contribution; Preferred Return. (a) Simultaneously with the sale of Series C Preferred Shares under the SPA, the Trust shall contribute an amount equal to the gross proceeds of such sale (the "Preferred Contribution") to the Partnership in consideration of the issuance of the Series C Preferred Interest.
Preferred Contribution; Preferred Return. (a) Prior to January 15, 2015 (the “Series I-1 Distribution Start Date”), no distributions shall accrue or be payable on any Units. From and after the Series I-1 Distribution Start Date, distributions shall begin to accrue on each Unit and each Unit issued to an Admitted Limited Partner shall be entitled to receive, and the Partnership shall pay, a distribution (the “Series I-1 Preferred Return”) on each Unit equal to 7.300% per annum (provided that with respect to the first such distribution that is made after the Series I-1 Distribution Start Date, the amount of such distribution shall be pro-rated to reflect the period from and after the Series I-1 Distribution Start Date). To the extent that any Series I-1 Preferred Return is not paid when due, such amount shall accrue on the same terms and conditions as distributions on the Series I Preferred Shares under the Articles of Incorporation. The Series I-1 Preferred Return shall be due on the same dates as distributions on the Series I Preferred Shares are due under the Articles of Incorporation. For purposes hereof, no effect shall be given to any amendment or modification of the Articles of Incorporation.
Preferred Contribution; Preferred Return. (a) Simultaneously with the initial sale of the Preferred Shares under the SPA, Glimcher shall contribute the Property (including, without limitation, its interest in and to, under the Leases, the Material Development Agreements and the Construction Documents), free and clear of all liens and claims of GPLP and its Affiliates (except for those contributed to the Company pursuant to SECTION 5.2(c), those arising under the Affiliate Agreements and leasing fees owed to GPLP under the Second Amended and Restated Operating Agreement of Glimcher on account of leases entered into before the date hereof as reflected in the Construction Budget) and shall receive a credit to its Capital Account as set forth in SECTION 5.3.

  • Subsequent Capital Contributions Without creating any rights in favor of any third party, each Member shall contribute to the Company, in cash, on or before the date specified as hereinafter described, that Member's Sharing Ratio of all monies that in the unanimous judgment of the Management Committee are necessary to enable the Company to acquire the Project from the Seller and to cause the assets of the Company to be properly operated and maintained and to discharge its costs, expenses, obligations, and liabilities, including without limitation its Sharing Ratio of the purchase price set forth in the Asset Sale Agreement, and its Sharing Ratio of Working Capital Requirements in order to bring current Company bank accounts to an amount equal to the Working Capital Requirements, as more particularly described in Section 5.01 below. The Management Committee shall notify each other Member of the need for Capital Contributions pursuant to this Section 4.02 when appropriate, which notice must include a statement in reasonable detail of the proposed uses of the Capital Contributions and a date (which date may be no earlier than the fifth Business Day following each Member's receipt of its notice) before which the Capital Contributions must be made. Notices for Capital Contributions must be made to all Members in accordance with their Sharing Ratios.

  • Return of Contribution Nonrecourse to Other Members Except as provided by law or as expressly provided in this Operating Agreement, upon dissolution, each Member shall look solely to the assets of the Company for the return of its Capital Contribution. If the Company property remaining after the payment or discharge of the debts and liabilities of the Company is insufficient to return the cash contribution of one or more Members, such Member or Members shall have no recourse against any other Member.
