The Secretary shall be responsible for recording complete minutes of all ISECC Governing Board meetings and dissemination of same to the membership within thirty (30) days after each meeting.
iii. The Treasurer of the Governing Board must hold current status as an elected ISECC Member Charter School board member through his or her term of office. The Treasurer shall be elected from the Membership of the Governing Board. The term of office shall be for one year commencing July 1 following. The Treasurer shall be responsible for oversight of the ISECC’s budget and finances.
President, Secretary and Treasurer. The Employee will report to the Company's Board of Directors. Employee will devote approximately 80% of his time to the business of the Company. It is understood that the Employee has been, and will continue to be, engaged in other business activities.

ELEVENTH: The General Shareholders' Assembly constitutes the supreme power of the corporation, but under no circumstances can they, by a majority vote, deprive the shareholders of their acquired rights nor to impose a resolution contrary to the articles of incorporation or the by- laws.

The Board of Directors may appoint such Vice Presidents, and such other officers, assistant officers and agents as the Board of Directors may determine. President, Secretary and Treasurer. The Consultant’s services shall be performed primarily at the Consultant’s offices that are located in Houston, TX. The parties acknowledge, however, that the Consultant may be required to travel in connection with the performance of his duties hereunder.
