Price of Services. The prices of the Services invoiced to the Client are those in effect at the time of invoicing, as published on the OVH Website. OVH offers different types of rates depending on the type of Service (monthly flat-rate, yearly flat-rate, per use pricing, etc.). These rates may be linked to a commitment to a particular period of use and/or a specific method of invoicing. Should several types of prices be available for the same Service, the Client may select the one of its choosing when submitting its Order. When prices are listed excluding taxes (in particular, prices for Services designed for businesses), the VAT as well as all other taxes applicable to the Services (excluding taxes on OVH revenue) shall be added to the price of the Services and due by the Client without this being deemed a change in the price as envisaged by article 8.2 of this Contract. In the absence of a special pricing scheme, the prices of the Services shall include the cost of acquisition of the licenses and rights to use the tools, software and Operating Systems used by OVH and/or which are made available to the Client by OVH within the scope of the Services. The Client is responsible for acquiring and fulfilling its obligations in respect of all licenses and usage rights that are necessary to operate or make use of the Content within the scope of the Services. The methods for calculating the price of the Services, as well as the billing units, are defined on the OVH Website and in the applicable Special Terms of Service. The Client is responsible for taking note of this before submitting its order. Each billing unit begun shall be invoiced and due in full, even when it is not totally used. Some Services shall incur additional installation or commissioning costs.

In the absence of a special pricing mechanism, the prices of the Services shall be deemed to include the cost of acquiring the licenses and rights to use the tools, software and Operating Systems provided by OVH and/or which are made available to the Client in the provision of the Services. The Client is responsible for acquiring and fulfilling its obligations in respect of all licenses and usage rights that are necessary to operate or make use of the Content within the scope of the Services. The methods for calculating the prices of the Services, as well as the billing units, are defined on the OVH Website and in the applicable Special Terms of Service. Each billing unit begun shall be invoiced and due in full. The Client is responsible for taking note of this before submitting its order. Price of Services. 4.1 The Price, unless otherwise so stated, shall be exclusive of value added tax which shall be payable by the Client (subject to receipt of a VAT invoice) at the rate prevailing at the relevant tax point.
4.2 The Price includes the cost of all Materials unless otherwise expressly stated in the Contract.
4.3 Exceptional costs including exceptional travelling costs may be itemised separately in the specification or subject to a separate additional charge based on actual costs incurred by HORIZON SOFTWARE SOLUTIONS.
4.4 No variation in the Price will be accepted by the HORIZON SOFTWARE SOLUTIONS without its express consent in writing.
Price of Services. With respect to the provision of each Service, Platinum shall pay to St. Xxxx or the St. Xxxx Subsidiary designated by St. Xxxx the "actual cost" to St. Xxxx or its Subsidiary (which shall consist of St. Paul's or such Subsidiary's direct and reasonable indirect costs), as the case may be, as certified in good faith by St. Xxxx. For greater certainty, the parties agree that "actual cost" will include any incremental and out-of-pocket costs incurred by St. Xxxx in connection with the Services, including the conversion, acquisition and disposition cost of software and equipment acquired for the purposes of providing the Services and the cost of establishing requisite systems and data feeds and hiring necessary personnel.
Price of Services. (a) In consideration for the obligation of Renaissance to provide Consulting Services and mandatory reservation of retrocessional capacity to the Company pursuant to Section 1 above, Platinum shall pay Renaissance US$4,000,000 at the inception of this Agreement and on each October 1 beginning October 1, 2003 through and including October 1, 2006.
(b) No later than thirty (30) days after the end of each Annual Period, Platinum shall pay Renaissance an adjustment fee ("ADJUSTMENT FEE") equal to the amount, if any, by which 3.5% of the aggregate gross written non-marine non-finite property catastrophe premium (including reinstatements) of the Company (as classified by the Company in accordance with accepted industry practice) for the applicable Annual Period exceeds the amount paid with respect to Section 3(a). In the event that 3.5% of such gross written non-marine non-finite property catastrophe premium (including reinstatements) in an Annual Period is less than or equal to the amount paid with respect to Section 3(a), Renaissance shall not be entitled to an Adjustment Fee for that Annual Period.
(c) The consideration provided in Section 3(a) and (b) above shall be in addition to any retrocessional premiums paid to Renaissance with respect to the Retrocessional Coverage bound by Renaissance for the benefit of Platinum and the Company
Price of Services. The Transition Services shall be provided to ----------------- TRS at the rates set forth on the applicable Schedules hereto.
