Principle of Confidentiality. During the term of this Agreement, any information disclosed by any Party to the Company or any other Party which is not publicly available to the Company or such other Party, or any information disclosed by the Company to any Party which is not publicly available to the receiving Party and in each case clearly marked as "confidential" by the disclosing Party, shall constitute confidential information of the disclosing Party. Each Party receiving such information shall, except for the purpose of performing its obligations under this Agreement, not disclose to any third party or permit any third party to use such confidential information unless the disclosure is required pursuant to applicable laws and regulations. If a disclosure has to be made pursuant to any applicable laws or regulations as provided in the preceding sentence, the Party receiving the underlying information shall always first notify the Party providing such information the scope of the required disclosure and the relevant provisions of the law or regulation pursuant to which such disclosure becomes mandatory before any such disclosure is to be made. If any confidential information becomes publicly available for reasons not attributable to the receiving Party, the confidentiality obligations of the receiving Party in respect of such confidential information shall be terminated.

Principle of Confidentiality. It is understood and agreed by the Celtic-Plus Parties, that all technical and business information received from other Celtic-Plus Parties pursuant to or in connection with the performance of this CFA and which has been explicitly marked as “confidential”, or when disclosed orally, has been identified as confidential at the time of disclosure and has been confirmed and designated in writing within 15 days from oral disclosure at the latest as confidential information by the disclosing Celtic-Plus Party shall be kept confidential towards third parties (excluding other Celtic Plus Parties) during and for 5 (five) years after the disclosure of the same. The representatives in all executive bodies (Art. III), i.e. in the Celtic-Plus Core Group, the Celtic-Plus Group of Experts, the Celtic office, and in all ad-hoc set up fora or Celtic-Plus Ad hoc Committees, are obliged not to use the received information for any other purposes than performing the work within the Celtic-Plus Organisation. Each Celtic-Plus Party shall make such information available only to those of its employees who need to know the information in connection with such performance of the work within the Celtic-Plus Organisation; and then, only to the extent of such need to know.
Principle of Confidentiality. The Institute ensures that the identity and personal data of the parties are stored and processed in such a way as to guarantee their appropriate security, including protection against unauthorized or unlawful processing.

  • Obligation of Confidentiality The parties agree to hold all Confidential Information in strict confidence and not to copy, reproduce, sell, transfer, or otherwise dispose of, give or disclose such Confidential Information to third parties other than employees, agents, or subcontractors of a party who have a need to know in connection with this Contract or to use such Confidential Information for any purposes whatsoever other than the performance of this Contract. The parties agree to advise and require their respective employees, agents, and subcontractors of their obligations to keep all Confidential Information confidential. Disclosure to a subcontractor is permissible where: (a) use of a subcontractor is authorized under this Contract; (b) the disclosure is necessary or otherwise naturally occurs in connection with work that is within the subcontractor's responsibilities; and (c) Contractor obligates the subcontractor in a written contract to maintain the State's Confidential Information in confidence. At the State's request, any employee of Contractor or any subcontractor may be required to execute a separate agreement to be bound by the provisions of this Section.

  • Duty of Confidentiality Licensee will protect the TCK as Oracle Confidential Information protected under this Section 6.0. A party receiving Confidential Information may not: (i) disclose Confidential Information to any third party, except that such party may exchange comments or questions concerning its use or the results of using the TCK, including relevant excerpts of the TCK, provided such TCK excerpts are inherently part of such results, but not the non-relevant portions of the TCK itself, or (ii) use Confidential Information except for the purpose of developing and testing Products. The receiving party will protect the confidentiality of Confidential Information to the same degree of care, but no less than reasonable care, as such party uses to protect its own Confidential Information. Obligations regarding Confidential Information will expire three (3) years from the date of receipt of the Confidential Information, except for source code, which will be protected by Licensee in perpetuity.

  • Term of Confidentiality The obligations of this Article 5 shall continue for a period of **** following the expiration or termination of this Agreement.

  • Waiver of Confidentiality The Borrower authorizes the Bank to discuss the Borrower's financial affairs and business operations with any accountants, auditors, business consultants, or other professional advisors employed by the Borrower, and authorizes such parties to disclose to the Bank such financial and business information or reports (including management letters) concerning the Borrower as the Bank may request.

  • Survival of Confidentiality The obligations under this section shall continue for three (3) years from the termination/expiration of this Agreement.
