Products; Inventories. (a) NorMedix has not made, manufactured, constructed, distributed, sold, offered for sale, leased, licensed or delivered any proprietary products for sale to consumers generally, and, other than the Strategic Products (as defined in Schedule 2.4), has no such products under development. NorMedix manufactures, constructs and sells component parts (the “Products”) to its customers based on their specifications for further use as determined by its customers.
Products; Inventories. (a) There have been no material product warranty claims made against any Xxxxxxx’x Company within the past two (2) years regardless of whether the Xxxxxxx’x Company received recourse to from its vendor or suppliers. None of the Xxxxxxx’x Companies has made any written warranties or, to the Company’s knowledge, has made any oral warranties based on a formal company policy within the past two (2) years with respect to the quality or absence of defects of its products or services which it has sold or performed which are in force as of the date hereof, except for those warranties which are described on Schedule 4.20(a).
Products; Inventories. (a) The Disclosure Letter contains a complete and accurate list of each of the products made, manufactured, constructed, distributed, sold, offered for sale, or licensed out by Xxxxxx as of the date hereof (the “Current Products”) and the shelf-life of each such Current Product.
