Project Development Fees. Developer acknowledges that the requirement to comply with the Mitigation Fee Act shall only apply with respect to the Existing Development Mitigation Fees described in Section 2.5.3 above or any New Development Mitigation Fees adopted by the County or joint powers authority or other agency pursuant to Section 2.5.4 above. As partial consideration for this Agreement and to offset certain anticipated impacts of project approval, the costs of which may not otherwise be calculable at this time, Developer agrees to pay, and specifically waives any objection to County’s lack of compliance with the Mitigation Fee Act or other applicable law in the calculation of, each of the following fees (a “Project Development Fees”):

Project Development Fees. (a) The Selected Bidder shall pay to IL&FS Infrastructure Development Corporation Limited (IIDC) or any person nominated by IIDC, a non-adjustable, non-refundable fees (“Project Development Fees”) equal to 4.5% (inclusive of all applicable taxes and duties) of the Total Project Cost and Project Structuring and Financing Fee (indicated in Data Sheet at Annexure 8). The Project Development Fees shall be paid in three instalments viz.
Project Development Fees. In consideration of the fund mobilization services, for each successful project i.e., fund mobilized and disbursed from any of the funding agencies, shall be entitled to receive an amount as a percentage (%) of the fund mobilized and disbursed to APUGBCL (as detailed below) from sources like Multilateral Funding agencies, CSR etc, as Project Development Fee.
