Project Phases. Planning and construction of Project shall occur in phases. Phase I shall consist of planning and design services, and Phase II shall consist of construction of the facilities. Phase I shall commence upon execution of this Agreement, and Phase II shall be contingent on Contractor’s receipt of the Notice to Proceed with construction from the District. In the event the District and the Contractor do not establish and agree upon Guaranteed Maximum Price (“GMP”) and Project Schedule for the construction phase of the Project or otherwise elect not to proceed to Phase II of the Project, the Developer or Preconstruction Services Fee (provided in Article 2.1.12) shall constitute the sole financial obligation of District for Phase I services.
