Common use of Promotional Activities Clause in Contracts

Promotional Activities. LICENSEE will use its best efforts and means to meet the needs of the Territory for the Licensed Products, to promote, advertise and otherwise further the sale and distribution of the Licensed Products in the Territory, particularly in population centers, and to further and preserve the goodwill and reputation of the Licensed Products sold under the Trademarks and meet the standards and conditions as set forth in Appendix VII attached hereto. LICENSOR shall make available to LICENSEE, at prices equal to LICENSOR's actual cost, promotional materials used by LICENSOR in the United States in connection with the sale of Licensed Products sold under the Trademarks. LICENSEE shall submit to LICENSOR all advertising materials proposed to be used by LICENSEE in connection with the Licensed Products for LICENSEE's prior written approval, such approval not to be unreasonably withheld or delayed.
