Common use of Protective Devices Clause in Contracts

Protective Devices. (a) As part of the Seller Interconnection Works, the Seller shall install protective relays in accordance with Schedule 3. The Seller shall maintain the settings of all relays in the Complex at the levels agreed by the Seller and the Purchaser, and the Seller shall not change such settings without the prior written consent of the Purchaser. (b) The Seller and the Purchaser shall verify the operation of the protection devices in accordance with the testing programme set out in Schedule 3. (c) Subject to giving the Seller reasonable notice, the Purchaser may require the Seller to modify or expand the requirements for protective devices. Following approval by the Purchaser of the costs of such modification or expansion, the Seller shall perform such modification or expansion. Such work shall be completed within a reasonable time under the circumstances. To the extent that any modification or expansion of the requirements for protective devices causes the Seller a delay in Commissioning the Complex, as certified by the Engineer,the Required Commercial Operations Date shall be extended Day- for-Day to account for such delay. The Purchaser shall be notified in advance of, and shall have the right to observe, all work on the protective devices. (d) Following completion of such modification or expansion work, the Seller shall provide the Purchaser with an invoice for the reasonable and necessary costs therefor, together with supporting documentation with respect thereto. The Purchaser shall pay the Seller the required amount within thirty (30) Days after delivery of the invoice by the Seller. (e) Each Party shall notify the other Party in advance of any changes to either the Complex or the Grid System that may affect the proper co-ordination of protective devices between the two systems, and neither Party shall make any such changes to either the Complex or the Grid System, as the case may be, without the other Party’s prior written approval.

The Purchaser shall pay the Seller the required amount costs within thirty (30) Days after delivery of the invoice by the Seller. (e) Each Party shall notify the other Party in advance of any changes to either the Complex or the Grid System that may affect the proper co-ordination of protective devices between the two systems, and neither Party shall make any such changes to either the Complex or the Grid System, as the case may be, without the other Party’s prior written approval.
