Provision of Know-How. 5.1 The Licensor shall make available to the Licensee such know-how relating to the Licensed Technologies as the Licensor may reasonably consider being necessary for the purposes of the Licensee properly developing and managing projects in the Territory.
5.2 The know-how supplied by the Licensor under clause 5.1 shall be used by the Licensee only for the purpose of the development of projects in the Territory, in the Field of Use and shall be subject to the provisions of Clause 8.
Provision of Know-How. As soon as practicable after the date of this Agreement and on a regular basis thereafter during the term of this Agreement, BioNumerik will, subject to the confidentiality and other terms contained herein, make additional BioNumerik Know-How available to ASTA Medica.
Provision of Know-How. Upon the Licensee’s reasonable request, CE shall arrange for the Principal Investigator to supply the Licensee with all Know-how in his possession or control that CE is at liberty to disclose and that has not previously been disclosed to the Licensee and which is reasonably necessary to enable the Licensee to exercise its rights under clause 2.1. The method of such supply shall be agreed between the Principal Investigator and the Licensee and shall be part of his position as a scientific advisor to the Licensee.
Provision of Know-How. Following the Effective Date, the Parties shall cooperate to establish procedures for the provision of the Amgen Know-How relating to the Product to Novartis and Novartis Know-How relating to the Product to Amgen, in each case to the extent [*] for such Party to exercise its rights and perform its obligations in accordance with this Agreement. From and after the Effective Date, during the Term, Amgen shall use [*] to provide all Amgen Know-How related to the Product to Novartis, and Novartis shall [*] to provide all Novartis Know-How related to the Product to Amgen, in each case to the extent [*] to exercise its rights and perform its obligations in accordance with this Agreement. In any event, following the Effective Date, each of the Parties shall provide to the other any Amgen Know-How or Novartis Know-How related to the Product (respectively) as the other Party shall reasonably request; provided that a Party shall not be obligated to disclose any Amgen Know-How or Novartis Know-How, as the case may be, that is (i) proprietary or trade secret with respect to such Party and (ii) not [*] for the other Party to exercise its rights and perform its obligations in accordance with this Agreement. Unless otherwise agreed by the Parties, information shared under this Section 3.4 (Provision of Know-How) shall be disclosed in the English language.
Provision of Know-How. As soon as practicable after the Effective Date, and on a regular basis thereafter during the term of this Agreement, each of BIONUMERIK and GRELAN will, subject to the confidentiality and other limitations contained herein, provide its Know-How and will thereafter provide its Improvements to KI PHARMA (and GRELAN as well in the case where BIONUMERIK will provide such Know-How and Improvements) for the purpose of enabling GRELAN and KI PHARMA to conduct the studies described in Sections 6.1 and 6.2, and otherwise to support Government Regulatory Approvals and the marketing of Venture Products in the Territory in accordance with the terms of this Agreement.
Provision of Know-How. Licensee acknowledges that it has, on the Effective Date, already received all the Know-How from KuDOS.
Provision of Know-How. Within thirty (30) days of the Commencement Date, the Parties shall agree in writing the arrangements by which the RPO (through the Principal Investigator) shall make available the Know-how to the Licensee. The RPO shall not have any obligation to provide any technical support in relation to any of the IP or the Know-how. However, if the Licensee wishes the RPO to provide any such support, the Licensee shall give the RPO written notice thereof. The RPO shall respond to such notice within fourteen (14) days, or within such other period as the Parties may agree to be reasonable in the circumstances, by confirming in writing whether or not it is willing and able to provide such support on reasonable commercial terms to be agreed between the Parties in writing.
Provision of Know-How. Upon the Licensee’s reasonable request, UCLB shall instruct the Principal Investigator to supply the Licensee with all Know-how in his possession that UCLB is at liberty to disclose and has not previously been disclosed to the Licensee and which is reasonably necessary or desirable to enable the Licensee to undertake the further development of the inventions claimed in (or disclosed in the as-filed specification of) any patent or patent application in the Patents. The method of such supply shall be agreed between the Principal investigator and the Licensee but shall not require the Principal Investigator to undertake more than 2 man-days of work, unless otherwise agreed in writing between the Parties. If it is agreed that the Principal Investigator shall travel to the Licensee’s premises in connection with such supply, the Licensee shall reimburse all travel (at business class rates), accommodation and subsistence costs incurred.
Provision of Know-How. As soon as practicable after the Effective Date, and on a regular basis thereafter during the term of this Agreement, each of BIONUMERIK and GRELAN will, subject to the confidentiality and other limitations contained herein, provide its Know-How and will thereafter provide its Improvements to KI PHARMA (and GRELAN as well in the case where BIONUMERIK will provide such Know-How and Improvements) for the purpose of enabling GRELAN and KI PHARMA to conduct the studies described in Sections 6.1 and 6.2, and otherwise to support Government Regulatory Approvals and the marketing of Venture Products in the Territory in accordance with the terms of this Agreement. Provision of Know-How. Upon Somantis’ reasonable request, The School of Pharmacy shall supply Somantis with all Know-how in its possession that The School of Pharmacy is at liberty to disclose and has not previously been disclosed and which is reasonably necessary or desirable to enable Somantis to undertake the further development of the Royalty-bearing Products. The Know-how shall be subject to the confidentiality provisions of Clause 3.4 and The School of Pharmacy shall be bound by such provisions as if the Know-how had been developed by Somantis and disclosed to The School of Pharmacy hereunder. If it is agreed that any representative of The School of Pharmacy shall travel to Somantis’ premises in connection with such supply, Somantis shall reimburse all travel (at business class rates), accommodation and subsistence costs incurred.
