Venture Products. Venture Products BN," "Venture Products GR" and "Territory" shall have the meanings ascribed to them in the Venture Agreement. No Member shall have any liability to the Company, to the other Members, or to the creditors of the Company on account of any deficit balance in its Capital Account except to the extent such deficit arises from the failure of such Member to contribute the full amount of its Capital Contribution. No Member shall have the right to demand or receive the return of such Member's Capital Contribution to the Company. No Member shall be entitled to interest on any Capital Contribution or on such Member's Capital Account.

Examples of Venture Products in a sentence

  • The parties hereto agree to use their best efforts to commercialize or cause to be commercialized the Venture Products in the Territory as soon as reasonably practicable.

  • Except as described in Attachment E hereto, BIONUMERIK represents and warrants to KI PHARMA and GRELAN that BIONUMERIK has not received any notification of, and has no knowledge that the use by KI PHARMA and GRELAN of the Know-How or the manufacture, use or sale of the Venture Products BN infringes any third party patent rights in the Territory.

  • If BIONUMERIK grants a license for commercial distribution of any Venture Products BN in areas outside the Territory, BIONUMERIK agrees to use its best efforts to provide in any agreement hereinafter signed with respect to such license that the licensee under such license shall provide KI PHARMA and GRELAN with all data and information generated by such licensee with respect to such products for supporting the development of such products in the Territory.

  • GRELAN shall provide KI PHARMA and BIONUMERIK with copies of all information generated or controlled by it in the course of satisfying regulatory requirements in the United States and/or Europe related to Venture Products GR that may be useful or necessary in obtaining Governmental Regulatory Approvals in the Territory, such as IND and Related Information.

  • The Steering Committee will meet at least quarterly (in Japan, U.S. or by telephone, video conference or internet - by mutual consent) to review the progress of the development of Venture Products in the Territory.

  • Each party agrees to notify the other parties immediately by telephone (with prompt written follow-up in English) of any inquiry, contact or communication received from any governmental regulatory agency or other official body which materially and adversely relates to or impacts upon the Venture Products or any component or ingredient thereof, and will promptly furnish the other parties with copies of all written communications relating thereto sent to or received from said regulatory agency.

  • BIONUMERIK may join and, if required by law, BIONUMERIK will join as party plaintiff in such Suits regarding Venture Products BN.

  • The parties agree to abide by the United States and Japanese laws and regulations governing exports of the Venture Products or any other technology developed or disclosed as a result of this Agreement.

Related to Venture Products

  • Software Products means any and all Software that is or has been distributed by the Division or Division Subsidiaries and their predecessors, and any similar products developed or under development by Seller relating to the Business as of the date of the Agreement, and all documentation, packaging materials, promotional materials, and training materials relating to any of the foregoing.

  • Steel Products means products rolled, formed, shaped, drawn, extruded, forged, cast, fabricated or otherwise similarly processed, or processed by a combination of two or more or such operations, from steel made by the open heath, basic oxygen, electric furnace, Bessemer or other steel making process.

A Development Tool Kit is either identified (i) with “CAA” or “ENOVIA Studio” in the DS Offering name, or (ii) in the Transaction Document and/or the Product Portfolio. Extended Enterprise User means an employee of Customer’s affiliate(s), supplier(s) and/or customer(s) authorized to use Customer’s DS Offering for the sole and exclusive purpose of enabling the Extended Enterprise User(s) to conduct business with Customer. The use of the DS Offering by any such Extended Enterprise User(s) 1) shall be solely limited to use (a) as configured and deployed by Customer and (b) in connection with the Extended Enterprise User’s performance of services for and on behalf of Customer, and 2) shall exclude any use by Extended Enterprise User (a) for its own account or a third party’s account, or (b) for the purpose of modifying, otherwise using, maintaining or hosting the DS Offering. Extended Enterprise Users are authorized if so specified in the Product Portfolio.

  • Biological product means a virus, therapeutic serum, toxin, antitoxin, vaccine, blood, blood component or derivative, allergenic product, protein other than a chemically synthesized polypeptide, or analogous product, or arsphenamine or any derivative of arsphenamine or any other trivalent organic arsenic compound, applicable to the prevention, treatment, or cure of a disease or condition of human beings.

  • End Products as used in this clause, means those articles, materials, and supplies to be acquired for public use under this contract.

  • Pharmaceutical Product shall have the meaning ascribed to such term in Section 3.1(hh).

  • Commercializing means to engage in Commercialization and “Commercialized” has a corresponding meaning.

  • Existing Products Tangible Products and intangible licensed Products that exist prior to the commencement of work under the contract. Existing Products must be identified on the Product prior to commencement of work or else will be presumed to be Custom Products.

  • Other Products means all products and services, other than an Advance, Credit Product or Derivative Transaction, offered by the Bank to any Obligor from time to time, including correspondent banking services, mortgage purchase programs and affordable housing and community investment products and services.

  • Designated Products means products provided by Motorola to Licensee with which or for which the Software and Documentation is licensed for use.

  • Combination Products means COBI Combination Products, EVG Combination Products, TDF Combination Products, TAF Combination Products and Quad Product.

  • Customer Technology means Customer's proprietary technology, including Customer's Internet operations design, content, software tools, hardware designs, algorithms, software (in source and object forms), user interface designs, architecture, class libraries, objects and documentation (both printed and electronic), know-how, trade secrets and any related intellectual property rights throughout the world (whether owned by Customer or licensed to Customer from a third party) and also including any derivatives, improvements, enhancements or extensions of Customer Technology conceived, reduced to practice, or developed during the term of this Agreement by Customer.

  • Your Products means products developed or to be developed by or for You that include an Intel Component executing the Materials.
