PSC Approval. The Delaware Public Service Commission shall have approved (subject to no condition or conditions deemed by the Company or the Purchaser to be unduly burdensome to the Company) the issuance and sale of the Bonds and the order entered by said Commission authorizing the issuance and sale of such Bonds shall be in effect on the date of the Closing and shall not be subject to any suspension, modification or appeal that would adversely affect the terms or the validity of such Bonds.
PSC Approval. An order or other authorization of the PSC approving the transactions contemplated by this Agreement and the customer rates to be charged by the Buyer based on cost of service principles for those Customers served by the Facilities shall have been obtained by the Buyer and shall be in full force and effect as of the Closing.
PSC Approval. This Franchise and any amendment or modification hereof is subject to the approval of the NY PSC. Franchisee shall file an application for such approval with the NY PSC within sixty (60) days after the date hereof. Franchisee shall also file any necessary notices with the FCC.
PSC Approval. The Parties acknowledge that any final agreement that they may reach will be subject to final approval by the PSC before service can commence.
PSC Approval. JWS and the Parent shall take all steps ------------ necessary or advisable to effectuate the approval of the PSC ("PSC approval"), if any is required, pursuant to any law, regulation or other authority and/or pursuant to the settlement agreement dated December 22, 1993 (the "PSC Settlement Agreement") between JWS, the PSC and certain other parties, for the transactions contemplated hereby. The City agrees that it shall, without undue delay (i) furnish JWS with all information requested by JWS that is reasonably necessary to assist JWS in effecting all necessary registrations and filings and submissions of information required to complete its application for PSC Approval, if any, and (ii) cooperate in complying with all orders and requests of the PSC as are reasonably necessary to obtain PSC Approval, if any is required.
PSC Approval. The PSC shall have entered an order (or orders) providing the approvals set forth in Section 8.2, and such order(s) shall not be subject to appeal, challenge, supersedeas or injunction.
PSC Approval. Seller shall have no obligation to deliver or sell Products and Buyer shall have no obligation to accept or purchase Products prior to receipt of PSC Approval. Buyer shall file this Agreement before the Delaware PSC and seek PSC Approval promptly following the Effective Date.
PSC Approval. Notwithstanding anything to the contrary in this Agreement, Buyer shall not be liable to Seller for any failure to perform any obligations hereunder in the event the PSC refuses to grant Buyer any necessary regulatory approval relating to this Agreement or the transactions contemplated in connection herewith.
PSC Approval. 3.1. The parties acknowledge that, the Maryland Public Service Commission (the “PSC”) has previously approved the grant of the Franchise to Franchisee, as well as Franchisee’s exercise of the Franchise and the acquisition of the Facilities pursuant to the Asset Purchase Agreements and that, pursuant to Md. Public Utility Companies art. §§5-103(a) and 5-202, PSC approval is required for the termination of the Franchise and the Asset Purchase Agreements. Franchisee shall be bound to make application for such approvals promptly following the Effective Date, and thereafter to prosecute such application with due diligence.
