Public Utility Improvements by the City. The City will also construct the public utility improvements necessary to serve the Property and other Business Park parcels within the Business Park. Developer shall be required to pay the City of design, planning, engineering, installation and construction of gas lines, internet and telephone conduits, electrical conduits, and water and sewer lines if not already installed. The specific type of improvements, the estimated improvement costs, and the estimated date of completion of improvements shall be prepared by the City within 90 days of the Effective Date of this Agreement and provided to Developer, in a form in substantial conformity with Exhibit E, attached hereto and incorporated herein. Developer shall make payment to the City in advance for the estimated construction costs within ten (10) days of receipt of written notice by the City of the amount of the final construction bids. If the final construction cost is greater than the estimate, Developer shall make payment to the City for the difference between the estimated construction cost and the actual construction cost within ten (10) days of receipt of written notice by the City. If the actual construction cost is less than the estimated cost, the City shall refund Developer the difference in cost. Any payments not timely made by Developer to the City will be considered a default under this Agreement.

  • Public Utilities No Restricted Entity or Affiliate thereof is a "holding company," or a "subsidiary company" of a "holding company," or an "affiliate" of a "holding company" or of a "subsidiary company" of a "holding company," within the meaning of the Public Utility Holding Company Act of 1935, as amended. No Restricted Entity or Affiliate thereof is a regulated public utility.

  • Removal of Improvements Grantor shall not demolish or remove any Improvements from the Real Property without Lender's prior written consent. As a condition to the removal of any Improvements, Lender may require Grantor to make arrangements satisfactory to Lender to replace such Improvements with Improvements of at least equal value.

  • System Protection Facilities The Interconnection Customer shall, at its expense, install, operate and maintain System Protection Facilities as a part of the Large Generating Facility or the Interconnection Customer’s Interconnection Facilities. The Participating TO shall install at the Interconnection Customer's expense any System Protection Facilities that may be required on the Participating TO’s Interconnection Facilities or the Participating TO’s Transmission System as a result of the interconnection of the Large Generating Facility and the Interconnection Customer’s Interconnection Facilities.
