Publicly Financed Project Improvements. Subject to the terms and conditions of this Second Amended and Restated Agreement, Developer shall be responsible for funding – or causing to be funded – all of the costs to construct the Amended Project, including that portion of the Improvements and the Amended Project that constitute the STAR Bond Improvements (defined in subsection (a) below), the TDD Improvements (defined in subsection (b) below) and the CID Improvements (defined in subsection (c) below). Notwithstanding the foregoing, the Parties agree that a portion of the STAR Bond Improvement Costs shall be paid for directly from STAR Bond Proceeds as such costs are incurred pursuant to the process described in Article VIII herein. The estimated costs, net of financing costs, of the entire Amended Project are set forth in Exhibit N M which is attached hereto (the "Project Budget"). Other than the STAR Bond Improvements, the TDD Improvements (excluding the Interchange) and the CID Improvements, the balance of the costs of completing the Amended Project shall be funded by Developer from entirely private sources, and no other costs will be reimbursed under this Second Amended and Restated Agreement.

  • Asset Improvement 5. (a) The Bank shall not, directly or indirectly, extend or renew any credit to or for the benefit of any borrower, including any related interest of the borrower, who is obligated to the Bank in any manner on any extension of credit or portion thereof that has been charged off by the Bank or classified, in whole or in part, “loss” in the Report of Examination or in any subsequent report of examination, as long as such credit remains uncollected.

  • Notice to Proceed - Site Improvements The Recipient shall not commence, or cause to be commenced, any site improvements or other work on the Land until the Director has issued a Notice to Proceed to the Recipient. Such Notice to Proceed will not be issued until the Director is assured that the Recipient has complied with all requirements for the approval of a grant under Revised Code Sections 164.20 through 164.27 and has completed any land acquisition required by the Project. A Notice to Proceed shall be required for all Project prime contractors or direct procurement initiated by the Recipient following execution of this Agreement.

  • School Improvement The conditions which follow shall govern employee participation in any and all plans, programs, or projects included in the terms, site-based decision making, school improvement, effective schools as provided in Act 197, P.A. 1987 (Section 15.1919 (919b) MSA) or other similar plans:

  • Needs Improvement the Educator’s performance on a standard or overall is below the requirements of a standard or overall, but is not considered to be unsatisfactory at this time. Improvement is necessary and expected.
