Qualified Investor status. Parent shall not be required to deliver any Parent Preferred Shares to any holder of Company Capital Shares that is receiving Merger Consideration pursuant to Section 1.7(a) hereof unless Parent shall have received from each such holder a duly executed investor representation letter substantially in the form attached hereto as Exhibit F (each a “Representation Letter”) on or prior to the Closing Date.
