QUIET ENIOYMENT. Subject to the provisions of the Xxxxxxxxx and this Sublease, Sublandlord covenants that Subtenant, on paying the rent and any other sums due hereunder and performing all the terms, covenants and conditions of this Sublease, shall and may peacefully and quietly have, hold and enjoy the Subleased Premises for the term of this Sublease, free from any hindrance, ejection or molestation by Sublandlord.

QUIET ENIOYMENT. Lessor warrants to Lessee that this Agreement, when executed and delivered, will constitute a binding obligation of Lessor, enforceable in accordance with its terms; and that the execution and delivery of this Agreement and performance of all of its terms does not conflict with any existing agreement binding on Lessor and that no consent is required for the execution and delivery of this instrument by lessor or for its performance by Lessor. Lessor further warrants that if Lessee shall pay all rental and other sums as provided herein to be paid by Xxxxxx and perform all the covenants of this Lease to be performed by Xxxxxx, then Lessee shall, during the term hereof, freely, peaceable and quietly occupy and enjoy the full possession of the Premises.

  • Peaceful Enjoyment Tenant shall, and may peacefully have, hold, and enjoy the Premises, subject to the other terms hereof, provided that Tenant pays the Rent and other sums herein recited to be paid by Tenant and timely performs all of Tenant’s covenants and agreements herein contained.   • Covenant of Seller The Seller shall not amend Article Third of its Certificate of Incorporation without the prior written consent of each Rating Agency rating the Certificates.
