Sublandlord Covenants. (a) Sublandlord shall pay, when and as due, all Base Rent, Additional Rent and other charges payable by Sublandlord to Master Landlord under the Master Lease. (b) Sublandlord shall perform its covenants and obligations under the Master Lease which do not require for their performance possession of the Sublease Premises and which are not otherwise to be performed hereunder by Subtenant, including, without limitation, performing all obligations of the “Tenant” under the Master Lease with respect to Sublandlord’s occupancy of the portion of the Master Lease Premises that does not include the Sublease Premises (the “Reserved Premises”). For example, Sublandlord shall at all times keep in full force and effect all insurance required to be maintained by Tenant under the Master Lease. (c) Sublandlord covenants that it will maintain the Master Lease during the entire Sublease Term, subject, however, to any earlier termination of the Master Lease without the fault of Sublandlord, and to comply with or perform or cause to be performed Sublandlord’s obligations with respect to the Reserved Premises and with any obligations with respect to the Sublease Premises not assumed by Subtenant hereunder (collectively, “Sublandlord’s Remaining Obligations”). Sublandlord hereby covenants (1) not to voluntarily surrender the Master Lease to Master Landlord as to the Sublease Premises (except as expressly permitted under this Section 2.4(c) below), and (2) not enter into any amendment or other agreement with respect to the Master Lease which will prevent or adversely affect Subtenant’s use of the Sublease Premises in accordance with the terms of this Sublease, increase Subtenant’s obligations or decrease Subtenant’s rights under this Sublease, shorten the term of this Sublease or increase the rental or any other sums Subtenant is required to pay under this Sublease. Subtenant hereby agrees and acknowledges that, subject to the terms and conditions of this Section 2.4(c) below, Sublandlord shall have the right, in Sublandlord’s sole and absolute discretion, to voluntarily terminate the Master Lease and surrender the Master Lease Premises to Master Landlord at any time during the Sublease Term, in which event this Sublease, and Sublandlord’s obligations under this Sublease, shall terminate as of the effective date of the termination of the Master Lease and Sublandlord shall in no event be liable to Subtenant as a result thereof. Sublandlord Covenants. (i) not to voluntarily terminate the Master Lease, (ii) not to modify or waive any provision under the Master Lease or make any elections, exercise any rights or give any consent or approval under the Master Lease, in any such case as to adversely affect Subtenant's rights hereunder, and (iii) to take all actions reasonably necessary to preserve the Master Lease.
Sublandlord Covenants. Provided that Subtenant is not in Default, (after notice and cure periods), under the terms of this Sublease, Sublandlord covenants to do the following: 8.1 Sublandlord shall pay all Base Rent under the Master Lease; 8.2 Sublandlord shall not (1) except as expressly provided in this Sublease, surrender or terminate the Master Lease prior to its scheduled expiration date, or (2) amend or modify the Master Lease, the result of which would materially and adversely affect Subtenant’s rights or obligations under this Sublease or the Premises; and 8.3 Sublandlord shall, promptly following receipt thereof, deliver to Subtenant a copy of any and all notices received by Sublandlord from Master Landlord which would have any effect upon the Premises or this Sublease. 8.4 Subtenant shall be entitled to a proportionate abatement of rent to the extent Sublandlord is entitled to the same under the Master Lease.
Sublandlord Covenants. Sublandlord covenants as follows: (i) not to voluntarily terminate the Master Lease (except upon terms pursuant to which the Landlord would recognize this Sublease as a direct lease upon all the terms contained herein), (ii) to perform or cause to be performed those obligations of Sublandlord under and otherwise to comply with all provisions of the Master Lease that do not pertain to the Subleased Premises, (iii) to perform or cause to be performed those obligations of Sublandlord under and otherwise comply with all provisions of the Master Lease that pertain to the Subleased Premises and by the terms of this Sublease are expressly not required to be performed by Subtenant, including, without limitation, the obligation to pay rent and additional rent as and when due (iv) not to modify the Master Lease so as to adversely affect Subtenant's rights hereunder, and (v) to take all actions reasonably necessary to preserve the Master Lease. Sublandlord covenants and agrees with Subtenant that upon Subtenant paying the rent required under this Sublease and paying all other charges and performing all of the covenants and provisions on Subtenant's part to be observed and performed under this Sublease, Subtenant shall and may peaceably and quietly have, hold and enjoy the Subleased Premises.
Sublandlord Covenants. Sublandlord shall perform its obligations under the Master Lease, subject to the obligations of Subtenant as set forth in this Sublease. Furthermore, Sublandlord shall not to take any action or do or perform any act or fail to perform any act which would result in the failure or breach of any of the covenants, agreements, terms, provisions or conditions of the Master Lease on the part of the tenant thereunder, subject again to the obligations of Subtenant as set forth in this Sublease. Sublandlord shall indemnify, defend, protect, and hold Subtenant harmless from and against, any and all losses, costs, claims, damages, expenses and liabilities (including, without limitation, reasonable attorneys' fees, costs and disbursements), arising from any default by Sublandlord in the performance of any of Sublandlord's obligations under this Sublease or the Master Lease, unless those obligations are those of Subtenant under this Sublease.

Sublandlord Covenants. Except with respect to the exercise of any right expressly set forth in the Master Lease, Sublandlord covenants to Subtenant that Sublandlord shall not do any act, matter or thing that would result in or constitute a violation or breach of or material default under the Master Lease or that would cause the Master Lease, or the rights of Sublandlord as “Tenant” under the Master Lease, to be endangered, canceled, terminated, forfeited or surrendered with respect to the Subleased Premises. Sublandlord shall not amend or modify the Master Lease in any manner which modifies Subtenant’s rights under this Sublease or causes Subtenant to incur additional obligations under this Sublease. Sublandlord covenants and agrees to timely and fully pay Rent (as defined in the Master Lease) as and when due under the Master Lease and otherwise comply with its obligations under the Master Lease that are not the obligation of Subtenant hereunder or the obligation of Snowflake under the Snowflake Sublease.
Sublandlord Covenants. The Sublandlord covenants and agrees with the Tenant: a) to perform and observe the covenants on the Sublandlord's part under the Head Lease, so far as such covenants are not required to be performed and preserved by the Tenant, and at all times to keep the Tenant indemnified against all actions, expenses, claims and demands on account of the non-performance by the Sublandlord of its obligations. b) to maintain the Head Lease in full force and effect during the Term and any renewal term of this Sublease subject, however, to any earlier termination of the Head Lease without the fault of Sublandlord c) upon compliance with the terms and conditions of this Sublease, Tenant shall and may peaceably and quietly hold and enjoy the Leased Premises for the Term and any renewal term provided herein. The Sublandlord covenants and agrees with the Landlord that notwithstanding this Sublease the Sublandlord remains principally liable for performing all of the obligations on its part contained in the Head Lease.
