Recognized Compensation. For purposes of the Plan and this SERP Agreement, the Participant’s Recognized Compensation for each calendar year shall be equal to 100% of the Participant’s salary for the calendar year plus 100% of the Participant’s bonus attributable to such calendar year.

Recognized Compensation wages within the meaning of section 3401(a) of the Code for purposes of federal income tax withholding at the source but determined without regard to any rules that limit the remuneration included in wages based on the nature or location of the employment or the services performed (such as the exception for agricultural labor in section 3401(a)(2) of the Code) and paid to the Participant by the Employer for the applicable period; subject, however, to the following:
Recognized Compensation. For purposes of determining Recognized Compensation, the remuneration paid to the Participant for the period beginning January 1, 1999 and ending August 31, 1999 shall be taken into account for the full Plan Year ending August 31, 1999 but shall not be taken into account for the short Plan Year ending December 31, 1999. The annual maximum limit for Recognized Compensation shall be prorated for the short Plan Year ending December 31, 1999.

  • Fixed Compensation Each of the Co-Managers will receive certain additional fixed compensation pursuant to separate agreements with Masterworks, which is not tied specifically to this Offering or to any other specific offering, but a portion of which is deemed to be underwriting compensation for this Offering. Such additional fixed compensation relates to (i) a monthly retainer for administrative support services and (ii) fixed compensation payments to representatives of Arete. $8,224 is a reasonable estimate of costs and expenses referenced in clauses (i) and (ii) above that are appropriately allocated to this Offering.

  • Compensation of Executive (a) The Corporation shall pay the Executive as compensation for his services hereunder, in equal semi-monthly or bi-weekly installments during the Term, the sum of $225,000 per annum (the “Base Salary).
