All Inclusive. The Fee is the all-inclusive consideration for the duly provided Services. The Fee includes reimbursement of all and any expenditure incurred by the Contractor toward performance of any steps, actions or measures contemplated in accordance with this Agreement (including, without limitation, meetings with the Company, training for Company’s personnel, travel costs, installation costs, necessary materials, etc.). The Contractor agrees and acknowledges that it shall have no right to request reimbursement by the Company of any additional expenditure whatsoever as may have been incurred by the Contractor toward provision of the Services contemplated by this Agreement, unless reimbursement of such additional expenditure has been explicitly agreed between the Parties in writing.
All Inclusive. The Executive acknowledges and agrees that provision of the entitlements set out in this Article 6 shall constitute full and final satisfaction of any claim which the Executive might have arising from or relating to the termination of the Executive’s employment, whether such claim arises under legislation, contract, common law or otherwise, except for such claim that cannot be released by operation of legislation.
All Inclusive. The Fixed Contract Price includes:
9.2.1 all Components, labour, services, import taxes and duties, supplies, Utilities supplied during construction (including water and electricity) and Intellectual Property Rights to be provided hereunder or required to perform the Work;
9.2.2 all federal, provincial, and local taxes arising out of the Contractor’s performance of the Work (except for those referred to in Section 9.3);
9.2.3 any duties including import duties and taxes, fees, licenses and royalties imposed with respect to any Contractor Permits, Components, other equipment, materials, labour, services, supplies or Utilities;
9.2.4 all transportation costs relating to any Components, other equipment and loading and offloading fees;
9.2.5 costs of necessary third party inspection and certification including by any Authorities;
9.2.6 everything contingently and indispensably necessary to construct and complete the Work, and shall include consideration of all geographical and other restrictions associated with performance of the Work;
9.2.7 Contractor’s entire profit for completing the Work in accordance with the requirements of the Agreement, as well as all costs, overhead, contingency, expenses and allowances in connection with performance of the Work, including:
(a) all project management, engineering specialist services, consumables (including all required fuel) and direct and indirect labour required to perform the Work in accordance with the Agreement;
(b) all construction aids and consumables required for provision of the Work. This shall include, but not be limited to:
(i) design development of purchase orders;
(ii) procuring, expediting, receiving, handling, inspection and the like; and
(iii) all costs, overheads and contributions to profit related to such items;
(c) all costs associated with complying with health and safety requirements;
(d) the total cost for all Subcontractor management and utilization;
(e) any Contractor or Subcontractors’ yard modifications, upgrades to equipment, facilities and the like;
(f) costs for royalties, duties, licence fees, know-how fees, usage of proprietary information and all similar items;
(g) costs for research and development (including those related to the development of computer systems);
(h) corporate and administrative services such as legal, advertising, recruiting, general procurement, corporate accounting, marketing, industrial relations, sales and their related office costs;
(i) all payrolls, employment,...
All Inclusive. The Purchase Price for each Product shall be all-inclusive and represents the sole and exclusive consideration to Seller hereunder for the Products or otherwise, except for (i) freight and insurance costs for which Buyer is responsible (collectively, “Freight Charges”), and (ii) certain taxes assessed on the Purchase Prices for which Buyer is responsible under Section 3.C. Buyer shall not be billed for, nor shall Buyer have any obligation to pay, any charge or amount not specifically authorized in Buyer’s duly issued Purchase Order. Any additional terms or conditions contained on any Seller invoice or packing slip shall not be binding on Buyer, and no action by Buyer (including the payment of any such invoice in whole or in part) shall be construed as binding Buyer with respect thereto. Any additional terms or conditions contained on any Buyer Purchase Order or any Seller invoice or delivery manifest (collectively, “Order and Fulfillment Documentation”) shall not be binding on Seller or Buyer, as applicable. No action by Seller (including the fulfillment of such Purchase Order in whole or in part) or Buyer (including the acceptance of a delivery of Products) shall be construed as binding Seller or Buyer, as applicable with respect to any additional terms or conditions included in any Order and Fulfillment Documentation.

Unless otherwiseagreed in the Assignment Order, the Fee is the all-inclusive consideration for the duly provided Services and includes reimbursement of all and any expenditure incurred by the Contractor toward performance of any steps, actions or measures contemplated in accordance withthe respective Assignment Order. The Contractor agrees and acknowledges that it shall have no right to request reimbursement by the Company of any additional expenditure whatsoever as may have been incurred by the Contractor toward provision of the Services, unless reimbursement of such additional expenditure has been explicitly agreed between the Parties in writing.
All Inclusive. Cost Per Copy (CPC) programs may be offered upon request by the Participating State or Entity, but pricing must not exceed Master Agreement pricing. Awarded Vendor(s) must provide the Participating State or Entity with their pricing breakdown which enables the Participating State or Entity to easily compare the pricing in the CPC structure against the pricing in the Master Agreement.
All Inclusive. This list may be updated from time to time in writing by the Company, including providing Consultant with a copy of the Company’s Travel & Expense policy when available. All expenses must be accompanied with appropriate receipts. Expenses will be reviewed for reasonableness and compliance with these Guidelines.
All Inclusive. Fees apply for use of the facility including the main hall, restrooms, kitchen, service area, outdoor covered patio area, and parking area. Included with your facility rental is some equipment which includes 8 foot folding tables, 60 inch round folding tables, folding chairs, stoves, dishwashers, refrigerators, microwaves, and other items located in the kitchen. Replacement charges will be incurred for broken, damaged, or missing items. Tables, chairs and other furnishings provided are not to be removed from the facility.

CONTAVA technicians test and inspect the equipment and provide a report with repair and replacement recommendations, In collaboration with the customer, CONTAVA schedules the replacement of non-functioning equipment, Two preventative maintenance events are provided per year, An annual on-site quality event is conducted by a Service Manager, 36 hours of banked on-site emergency service time are budgeted annually, The customer can access 24 hours emergency dispatch service, A half day of annual training conducted by a certified trainer. Travel time and mileage are included for the two preventative. maintenance events, the quality event, the six emergency events and the annual training, Shop supplies are included.
