Reference Testing Services. Within [* * *] days following the end of each calendar month, LipoScience will send LabCorp an itemized statement for the Applicable Service Fees payable for References Testing Services rendered. LabCorp agrees to remit payment to LipoScience for all undisputed amounts within [* * *] days after receipt of said statement and Test requisitions. In the event that LabCorp reasonably disputes an invoiced amount, to the extent commercially reasonable, LabCorp shall notify LipoScience within such [* * *] day period after receipt of the statement. The parties agree to promptly negotiate in good faith to resolve any such disputes relating to invoiced amounts, including referring such matter to senior management if not resolved in a timely manner. The statement must include the following information for Reference Testing Services (to the extent reasonably available to CONFIDENTIAL TREATMENT HAS BEEN REQUESTED FOR PORTIONS OF THIS EXHIBIT.   • Hosting Services GSI shall load the Web site onto server(s) that are connected to the Internet and readily accessible via the Web through use of the Domain Names. GSI shall ensure that the Web site is functional and ready to process transactions in a reasonably efficient manner.

  • Manufacturing Services Jabil will manufacture the Product in accordance with the Specifications and any applicable Build Schedules. Jabil will reply to each proposed Build Schedule that is submitted in accordance with the terms of this Agreement by notifying Company of its acceptance or rejection within three (3) business days of receipt of any proposed Build Schedule.   • USE OF THIRD PARTY SYSTEMS-LEVEL SOFTWARE State Street and the Fund acknowledge that in connection with the Data Access Services provided under this Addendum, the Fund will have access, through the Data Access Services, to Fund Data and to functions of State Street’s proprietary systems; provided, however that in no event will the Fund have direct access to any third party systems-level software that retrieves data for, stores data from, or otherwise supports the System.

  • TECHNICAL SUPPORT SERVICES 2.1 The technical support services (the "Services"): Party A agrees to provide to Party B the relevant services requested by Party B, which are specified in Exhibit 1 attached hereto ("Exhibit 1").
