Reimbursement of Agent’s Expenses. The Loan Parties agree to reimburse the Administrative Agent for all reasonable and documented out-of-pocket expenses incurred by the Administrative Agent and its Affiliates in connection with entering into this Amendment to the extent required by Section 9.03 of the Amended Credit Agreement.
Reimbursement of Agent’s Expenses. Each Lender agrees that it will indemnify the Agent for its Lender’s Proportion of any and all costs, expenses and disbursements (including, without limitation, those costs and expenses referred to in Section 10.1) which may be incurred or made by the Agent in good faith in connection with the Loan Documents, and agrees that it will, on written demand, reimburse the Agent for any such costs, expenses or disbursements for which the Agent is not promptly reimbursed at any time by the Borrower. The Agent may refrain from exercising any right, power or discretion or taking any action to protect or enforce the rights of any Lender under the Loan Documents until it has been so reimbursed.
Reimbursement of Agent’s Expenses. Except for the -------------------------------------------------- reimbursement provided herein, the Agent will pay its own costs and expenses incurred in connection with the performance of this Agreement and the transactions contemplated hereunder, including the fees and disbursements of its counsel, marketing expenses and due diligence expenses. The Company shall reimburse the Agent for (i) the fees and disbursements of its counsel (up to a maximum of $50,000.00 for legal fees, including out-of-pocket expenses for travel and other disbursements of counsel), and (ii) its reasonable expenses in an amount not to exceed $15,000 (exclusive of legal fees and expenses of Agent's counsel) which shall be paid within five days of receipt by the Company of an itemized bill summarizing such expensxx xince the date of the last bill, if any, to the date of xxx current bill. To the extent not prevxxxxly paid, full payment of the Agent's expenses shall be made in next day funds on each Closing Date provided that the Company shall have received an itemized bill summarizing any unreimbxxxxd expenses at least two days before each Closing Date or on such later date if the Company shall have received an itemized bill summarizing any unreimbxxxxd expenses at least two days before such date or, if the Offering is not completed and is abandoned or terminated for any reason, within five days of receipt by the Company of a reasonable accounting from the Agent of its expenses.
Reimbursement of Agent’s Expenses. Owner agrees to reimburse Agent upon demand therefore for any monies that Agent may elect to advance for the account of Owner. It is expressly understood that Agent is under no obligation to advance any monies for the account of the Owner. Owner shall further reimburse Agent for all of Agent's expenses incurred in connection with the operation of the Property or as a result of Agent's compliance with this Agreement during the preceding month, including, without limitation copies, postage, Agent's long distance travel and long distance phone expenses and expenses relating to the duties set forth in this Agreement.
Reimbursement of Agent’s Expenses. Borrower hereby agrees to reimburse Agent for all reasonable and documented out of pocket costs and expenses relating to this Amendment. Borrower hereby authorizes Agent, at its option, to debit any account of Borrower held with the Lenders for the payment of such fees, costs and expenses.
Reimbursement of Agent’s Expenses. Each Lender agrees that it will indemnify the Agent for its Lender’s Proportion of any and all costs, expenses and disbursements (including, without limitation, those costs and expenses referred to in Section 11.1) which may be incurred or made by the Agent in good faith in connection with the Loan Documents, and agrees that it will, on written demand detailing such costs, expenses and disbursements, reimburse the Agent for any such costs, expenses or disbursements for which the Agent is not promptly reimbursed at any time by the Borrower. The Agent may refrain from exercising any right, power or discretion or taking any action to protect or enforce the rights of any Lender under the Loan Documents until it has been so reimbursed.
Reimbursement of Agent’s Expenses. Whether or not the transactions contemplated herein shall be completed, the Company shall reimburse the Agents on demand for all documented out-of-pocket costs and expenses (including reasonable fees of U.S. and Canadian legal counsel in an amount not to exceed $45,000, excluding taxes and disbursements) that shall have been incurred by them in connection with the proposed purchase and sale of the Shares.
Reimbursement of Agent’s Expenses. If the sale of the Shares provided for herein is not consummated because any condition to the obligations of the Agents set forth in Section 5 hereof is not satisfied, because of any termination pursuant to Section 8 hereof or because of any refusal, inability or failure on the part of the Company to perform any agreement herein or comply with any provision hereof other than by reason of a default by either of the Agents, the Company will reimburse the Agents severally on demand for all out-of-pocket expenses (including reasonable fees and disbursements of counsel) that shall have been incurred by them in connection with the proposed purchase and sale of the Shares.
Reimbursement of Agent’s Expenses. Owner agrees to reimburse Agent for any monies which Agent may elect to advance for the account of Owner, although Agent shall be under no obligation at any time to advance funds for the account of the Owner. Owner shall further reimburse Agent for all of Agent's expenses incurred in connection with the operation of the Property or as a result of Agent's compliance with this Agreement during the preceding month, including, without limitation copies, postage, Agent's long distance travel and long distance phone expenses and expenses relating to the duties set forth in Article IV herein. Agent shall be responsible for the cost of Agent's overhead and administrative personnel, including all bookkeeping functions and costs associated with preparing monthly financial statements and other required reports.
Reimbursement of Agent’s Expenses. In consideration for the performance by the Agent of its duties and obligations under this Agreement, the Owner shall compensate the Agent by reimbursing the Agent for all direct and indirect costs and expenses actually incurred by the Agent that are directly attributable to services performed pursuant to this Agreement. Such costs and expenses shall include, but not be limited to, overhead (including, without limitation, insurance, infrastructure, administrative services, office and operating supplies, and in-house services); third party costs to consultants, vendors and others; salaries of all personnel (including, without limitation, benefits, vacation pay, bonuses, union and similar dues or payments, contributions to retirement and other plans); and all other costs and expenses that are incurred by the Agent, to the extent that they are relevant and appropriate to the Agent’s services relating to the Project. All such costs and expenses payable hereunder may be increased or decreased from time to time in accordance with reasonable business practices conducted on an arm’s length basis, but shall be without xxxx-up or add-on of any kind.
