Relationship to Lease. This Amendment supercedes any inconsistent provisions contained in the Lease. Except as amended hereby, the Lease remains in full force and effect.
Relationship to Lease. Without limiting Section 2.5 in any manner, for the avoidance of doubt, the Parties agree that nothing contained in this Agreement, including this Article XII and Article XIV hereof, is intended or shall be construed to limit, vitiate or supersede the Lease Insurance Requirements. No modification may be made to the Lease Insurance Requirements except in accordance with the provisions, terms and conditions of the Lease. Without limitation of the preceding portion of this Section 12.1.6, Section 2.5 or Section 18.2.3 in any manner, and for the avoidance of doubt, the Parties acknowledge that any determination made by an Expert with respect to any dispute under Section 12.1.5 shall not modify the Lease Insurance Requirements and without limitation, to the extent Landlord believes any noncompliance with the Lease exists, the provisions, terms and conditions of the Lease shall govern with respect thereto.
Relationship to Lease. This Sublease and all of Subtenant's rights --------------------- hereunder are expressly subject to and subordinate to all of the terms of the Lease. Subtenant hereby acknowledges that it has received copies of the Lease and has read all of the terms and conditions thereof. Subtenant hereby agrees to assume all obligations of Sublandlord, as "Tenant" under the Lease, with respect to the Subleased Premises. All of the terms and conditions of the Lease are hereby incorporated into this Sublease by reference as if fully set forth herein and except that "Landlord" shall be read as "Sublandlord" and "Tenant" shall be read as "Subtenant"; provided, however, that (i) Subtenant hereby acknowledges that Subtenant shall look solely to Landlord for the performance of all the Landlord's obligations under the Lease and that Sublandlord shall not be obligated to provide any services to Subtenant or otherwise perform any obligations in connection with this Sublease, and (ii) Subtenant shall not be entitled to exercise (or to require Sublandlord to exercise) any right of first offer, right of first refusal, right to contest taxes, renewal option, purchase option, termination option, contraction option, expansion option or any such other right or option granted to Sublandlord as "Tenant" under the Lease. Subtenant acknowledges that any termination of the Lease will result in a termination of the Sublease.
Relationship to Lease. (a) This Sublease and all of Subtenant’s rights hereunder are expressly subject to and subordinate to all of the terms of the Lease. Subtenant acknowledges that any termination of the Lease shall result in a termination of the Sublease. Subtenant hereby acknowledges that it has received copies of the Lease and has read all of the terms and conditions thereof.
Relationship to Lease. (a) Subject to Section 16(b) of this Sublease, notwithstanding anything to the contrary in this Sublease, in the event that the Lease is terminated prior to its scheduled expiration date, this Sublease shall thereupon immediately terminate.
Relationship to Lease. This Supplement modifies and amends the Lease as specifically provided herein. In all other respects the Lease is ratified, remains in full force and effect without change, and the terms of the Lease shall be deemed incorporated herein. Capitalized terms not defined herein shall have the meanings set forth in the Lease. In the event of any inconsistencies between the Lease and this Supplement, as it relates or applies to the Power Program, the terms of this Supplement shall control.
Relationship to Lease. (a) Subtenant hereby acknowledges that it has received a true, correct and complete copy of the Lease and has read all of the terms and conditions thereof.
Relationship to Lease. This Supplement shall form a part of the Lease. In the event of any inconsistency between the terms of the Lease and the terms of this Supplement as they relate or apply to the Power Program or Standby Power Service, the terms of this Supplement shall control. Capitalized terms used in this Supplement and not otherwise defined herein shall have the same meanings as provided in the Lease.
Relationship to Lease. Any capitalized terms used in this Memorandum and not otherwise defined shall the meanings set forth in the Lease or PPA. In the event of any inconsistence between capitalized terms the order of precedence shall be PPA, Lease, then Memorandum in that order.
Relationship to Lease. HEART OF LA hereby acknowledges that it has received and reviewed the Lease and that the City would not enter into the Lease with HOLA but for HEART OF LA and HOLA entering into this Sublease. HEART OF LA agrees to be bound to the terms of this Sublease and to perform its obligations hereunder as if failure to do so would also cause HOLA to be in default under the Lease. HOLA and HEART OF LA hereby agree that this Sublease shall be subordinate to, and subject to, the terms of the Lease.
