Relationship with Partners. It is expressly acknowledged and agreed by the Partners that the General Partner may, in its sole and absolute discretion, waive or otherwise modify the application with respect to any Partner or assignee of any provision herein restricting, prohibiting or otherwise relating to (i) the transfer of a Limited Partner Interest or the Partnership Units evidencing the same, (ii) the admission of any Limited Partners and (iii) the redemption rights of such Partners, and that such waivers or modifications may be made by the General Partner at any time or from time to time, including, without limitation, concurrently with the issuance of any Partnership Units pursuant to the terms of this Agreement; provided, however that nothing in this Section 3.3 is intended to eliminate or limit the rights of the Limited Partners included elsewhere in this Agreement.

Relationship with Partners. The Company shall use commercially reasonable efforts to preserve the goodwill of its license and collaboration partners through the Closing Date.
Relationship with Partners i. The Platform will allow Clients to provide information about the Partner Programs they offer, including details like what the program involves, how payments work, commission schedules, and other terms. As a Partner, You must create user accounts, accept access to the Platform, and contact the Client through the Platform, the Client’s portal, or directly. You can then, at your discretion, enter into a separate agreement with Clients (the “Affiliate Agreement”) that governs your relationship with those Clients and your participation in their programs. The Affiliate Agreement can either be directly uploaded to the Platform or included as a link within the Platform. Client is responsible for securely maintaining records of the Affiliate Agreement and Partner Program. FirstPromoter is not involved in these Affiliate Agreements and is not responsible for them in any circumstances. You may participate in multiple Partner Programs with different Clients on the Platform. ii. Unless otherwise permitted by the Affiliate Agreement, Partners are prohibited from signing up using their own referral links or promoting referrals through advertising channels, including but not limited to Google Ads, Facebook Ads, or any other similar services if they are bidding on or targeting the same keywords, audiences, or ad spaces as the Client.
Relationship with Partners.  Wardens will work with Partners and the community to identify, develop and support community based projects and initiatives which help to improve the local quality of life.  Wardens will develop an annual plan of action for their area in consultation with Partners.  Partners will be given copies of their rotas and, where possible notified of any significant changes to their duties.  Wardens will keep regular contact with the nominated single point of contact (SPOC) for the Warden Scheme Partners in their area, and will provide written and or verbal reports at partner meetings as required by the Partners.  Wardens do not have any enforcement powers. They may make preliminary investigations of what appear to be breaches of the law and report those to the appropriate authority and provide statements of their observations and actions e.g. fly-tipping or dog fouling.  Wardens must not get involved in violent incidents  Wardens must not act as an employee of the partner or discharge specific functions which are the responsibility of the Partners.

  • EMPLOYMENT RELATIONSHIPS The ORGANIZATION, its employees, volunteers or agents performing under this Agreement are not deemed to be employees of the COUNTY, nor volunteers or agents of the COUNTY in any manner whatsoever. No officer, employee, volunteer or agent of the ORGANIZATION will hold themselves out as, or claim to be, an officer, employee, volunteer or agent of the COUNTY by reason hereof, nor will they make any claim, demand or application to or for any right or privilege applicable to an officer, employee volunteer or agent of the COUNTY. The parties agree that the COUNTY will not be responsible for the payment of any industrial insurance premiums or related claims or other benefits that may arise during the performance of services under this Agreement for any ORGANIZATION employee or volunteer, or for any consultant’s, contractor’s or subcontractor’s employee(s) or agent(s) that has been retained by the ORGANIZATION.

  • Confidential Relationship Any information and advice furnished by any party to this Agreement to the other party or parties shall be treated as confidential and shall not be disclosed to third parties without the consent of the other party hereto except as required by law, rule or regulation. The Manager hereby consents to the disclosure to third parties of (i) investment results and other data of the Manager or the Portfolio in connection with providing composite investment results of the Adviser and (ii) investments and transactions of the Manager or the Portfolio in connection with providing composite information of clients of the Adviser.
