Release of Developer Sample Clauses

Release of Developer. Subject to the terms of this Agreement, in the event of conveyance of all or a portion of the Real Property in compliance with the conditions set forth herein to a person or entity other than Developer, the Developer shall be released from any further obligations under this Agreement with respect to the Real Property so transferred, and the transferee shall be substituted as the Developer under this Agreement as to the portion of the Real Property so transferred.

Release of Developer. The Developer, in the event of a sale or other conveyance of all or any portion of the Property, shall be released from compliance with the conditions set forth by this Agreement for the property sold or conveyed by the Developer.
Release of Developer. Upon the written consent of City to a partial or full assignment / Transfer of this Agreement, or in connection with any Permitted Transfer, and the express written assumption of the assigned obligations of Developer under this Agreement by the assignee as, and to the extent, required under Section 12.5, above, Developer shall be relieved of the assigned obligations under this Agreement with respect to the applicable interest in the Agreement so transferred, as long as there does not exist a Developer Default under the terms of this Agreement prior to the Transfer (in which case Developer shall not be released from these obligations that are in default until such default is cured).
Release of Developer. The City hereby specifically agrees to release the Developer from the obligations, terms and conditions assumed by the Transferee set forth in Section 4(a) through (g) of this Agreement, but only to the extent that the same pertain to the Transferee Project. Additionally, nothing in this Agreement shall be deemed to release the Developer or the Guarantor from the provisions pertaining to the Xxxxxxx Damages in Section 3.05 or the Xxxxxxx Damages Guaranty in Section 3.05(d).

Franchisor Releasors covenant and agree not to file any claim or complaint or institute or instigate any investigation, lawsuit, arbitration proceeding, or other legal action against Developer Releasees for claims released herein.

Release of Developer. The County may release Developer from compliance with this requirement if it finds that adequate security has been provided to ensure enforcement of the Developer's improvement and maintenance obligations under this Agreement. Following the Developer’s compliance with the foregoing requirements for the creation of the HOA to maintain the improvements, and approval of the maintenance plan with respect to each such homeowner’s association, County will look solely to the HOA in connection with the maintenance of the improvements in the particular development covered by the declaration and Developer shall have no further liability in connection with the maintenance and operation of such improvements. At such time, the HOA shall perform improvement and maintenance obligations in accordance with NRS Chapter 116 requirements, including, but not limited to, maintaining adequate reserves and liability insurance.

Release of Developer. Upon the effectiveness of any Assignment and Assumption of Developer’s obligations by any Assignee, Developer shall be fully relieved and released of each of its duties and obligations with respect to the portion of the Property transferred to the transferee from and after the date of such transfer, except as to those obligations of Developer under this Agreement that affect more than the portion of the Property being transferred.
