Releases and Clearances. BSSF will notify you in writing where it has obtained a model release and/or a property release for Footage if available. You agree not to use any Footage in a politically partisan manner without written permission from BSSF, such approval may be withheld for any reason. Except as specifically notified by BSSF to you, BSSF does not provide any copyright clearance or model or property releases with respect to the Footage and grants no rights and makes no warranties with regard to the use of names, people, trademarks, trade dress, registered, unregistered or copyrighted designs or works of art or architecture depicted in any Footage. You shall be solely responsible for determining whether a clearance or release is required in connection with any proposed use of such Footage. You acknowledge that some jurisdictions provide legal protection against a person’s image, likeness or property being used for commercial purposes without their consent. BSSF makes no representations or warranties as to whether or not any additional fees or payments may be due to any trade union, trade organization or model depicted in Footage.

Releases and Clearances. With its final invoice or payment application, Subcontractor will attach and include a signed Final Waiver of Lien and Release of Claims (see Exhibits E and/or F as/if applicable). Submission of these documents is an absolute conditions precedent to any final payment otherwise due Subcontractor, and failure to submit such documents shall result in the withholding of payment from Subcontractor until such documents are properly submitted.

  • Security Clearances A. The General Contractor is to supply the Department of Corrections with full names, dates of birth, and social security numbers of all employees who will be on site. This information must be submitted a minimum of two (2) weeks prior to access to the site. The Department of Corrections has final word on who will be permitted access to the site. A form for this purpose is attached for your use.

  • Clearances Advertiser will be responsible, at its own cost and expense, for obtaining all clearances, authorizations, permissions, licenses, and releases (collectively, “Clearances”) from third parties necessary to enable Station to distribute the Advertiser Content under this Section 4, including, without limitation, (i) Clearances for any of the following creative elements appearing in or otherwise displayed via the Advertiser Content: photos, video footage, music (including, without limitation, any synchronization and mechanical licenses), audio tracks, trademarks, service marks, and rights of publicity and other indicia of identity, and (ii) Clearances from any individuals or entities whose trademarks, service marks, other corporate indicia, names, voices, likenesses, and other indicia of identity may appear in any of the Advertiser Content.

  • TITLE VI ASSURANCES The requirements and terms of the United States Department of Transportation Title VI program, as revised from time to time, are incorporated into this Contract for all purposes. Engineer has reviewed Exhibit “J”, and shall comply with its terms and conditions.

  • Searches Before the Closing Date, and thereafter (as and when determined by Agent in its discretion), Agent shall have the right to perform, all at Borrowers’ expense, the searches described in clauses (a), (b), and (c) below against Borrowers and any other Credit Party, the results of which are to be consistent with Borrowers’ representations and warranties under this Agreement and the satisfactory results of which shall be a condition precedent to all advances of Loan proceeds: (a) UCC searches with the Secretary of State of the jurisdiction in which the applicable Person is organized; (b) judgment, pending litigation, federal tax lien, personal property tax lien, and corporate and partnership tax lien searches, in each jurisdiction searched under clause (a) above; and (c) searches of applicable corporate, limited liability company, partnership and related records to confirm the continued existence, organization and good standing of the applicable Person and the exact legal name under which such Person is organized.
