Remote Delivery. This Agreement is between the Company and the Client for a remote services model, whereby communication and execution of duties is completed via web and telephone services provided by the Company. The Client will provide logins, passwords and user accounts in the Client’s system for each Company resource required to access such the Client’s systems for a Project or other Services provided by the Company in accordance with this Agreement as necessary for the delivery of work outlined in a SOW. The Company will notify the Client of any Company resource who ceases to work on a Project. Upon such notice the Client will immediately remove access for such Company resource from the Client’s system. The Company shall adhere to all Client policies and procedures when accessing the Client’s systems and shall be fully liable for its resources’ use and access of same. Company resources work standard business hours (i.e. 9am - 5pm) in their local time zone. If scheduling additional work outside of standard business hours should be necessary, advance notice of one week is required and availability is subject to appropriate resource availability. The Company will always do our best to accommodate requests. Company resources are not dedicated to any single Project and are engaged across many Projects for various Clients. Owing to the uncertainties of global pandemics, the provision of any onsite Services under this PSA is subject to the Company resources being permitted and able to perform such Professional Services taking into consideration applicable laws and regulations, including those pertaining to health, safety and mobility (whether in the country of service provision and/or the country of location of the resources). If the provision of any onsite Professional Services is negatively impacted due to circumstances related to or arising from a global pandemic, Company and Client agree to cooperate in good faith to review such impact and, if necessary, amend any resource plans, work plans, service specifications, time schedules and the like in accordance with the Change Request Process identified in the associated SOW. For the avoidance of doubt, this section is without prejudice to the Parties’ rights and obligations under the force majeure clause of this PSA.

Remote Delivery. The Clarity ClarityHS Edition Implementation Service is delivered remotely, during standard business hours. Bitfocus will choose and provide an online meeting platform for this purpose.

  • Service Delivery Grantee shall: 1. Adhere to the Priority Populations for Treatment Programs as stated in the SUD UM Guidelines. 2. Maintain Daily Capacity Management Report in CMBHS as required in the SUD UM Guidelines. 3. Maintain a Waiting List to track all eligible individuals who have been screened but cannot be admitted to SUD treatment immediately. i. Grantee that has an individual identified as a federal and state priority population on the waiting list shall confirm this in the Daily Capacity Management Report. ii. Grantee shall arrange for appropriate services in another treatment facility or provide access to interim services as indicated within 48 hours when efforts to refer to other appropriate services are exhausted. iii. Grantee shall offer directly or through referral interim services to wait-listed individuals. iv. Establish a wait list that includes priority populations and interim services while awaiting admission to treatment services. v. Develop a mechanism to maintain contact with individuals awaiting admission. 4. If unable to provide admissions to individuals within Priority Populations for Treatment Programs according to SUD UM Guidelines: i. Implement written procedures that address maintaining weekly contact with individuals waiting for admissions as well as what referrals are made when a client cannot be admitted for services immediately. ii. When Grantee cannot admit a client, who is at risk for dangerous for withdrawal, Grantee shall ensure that an emergency medical care provider is notified. iii. Coordinate with an alternate provider for immediate admission. iv. Notify Substance Use Disorder (Xxxxxxxxx_Xxx_Xxxxxxxx@xxxx.xxxxx.xx.xx) so that assistance can be provided that ensures immediate admission to other appropriate services and proper coordination when appropriate. v. Provide pre-admission service coordination to reduce barriers to treatment, enhance motivation, stabilize life situations, and facilitate engagement in treatment. vi. Adhere to Informed Consent Document for Opioid Use Disorder applicable to the individual as stated in the SUD UM Guidelines. vii. When an individual is placed on the Wait List, Grantee shall document interim services as referrals that provides applicable testing, counseling, and treatment for Human Immunodeficiency Virus (HIV), tuberculosis (TB) and sexually transmitted infections (STIs).

  • Late Delivery Supplier shall give DXC prompt notice of any prospective failure to ship Products or provide Services on the delivery date specified by DXC (the “Delivery Date”).

  • PRICE/DELIVERY Price(s) bid must be the price(s) for new goods, unless otherwise specified. Any bids containing modifying or “escalator” clauses will not be considered unless specifically requested in the bid specifications.

  • Share Delivery Delivery of any shares in connection with settlement of the Award will be by book-entry credit to an account in the Grantee’s name established by the Company with the Company’s transfer agent, or upon written request from the Grantee (or his personal representative, beneficiary or estate, as the case may be), in certificates in the name of the Grantee (or his personal representative, beneficiary or estate).

  • Counterparts; Facsimile Delivery This Agreement may be executed in any number of counterparts and by different parties hereto in separate counterparts, each of which when so executed shall be deemed to be an original and all of which when taken together shall constitute one and the same Agreement. Delivery by facsimile of an executed signature page of this Agreement shall be effective as delivery of an executed counterpart hereof.

  • ODUF Message to be Transmitted 6.1.1 The following messages recorded by BellSouth will be transmitted to Quality Telephone: - Message recording for per use/per activation type services (examples: Three Way Calling, Verify, Interrupt, Call Return, etc.) - Measured billable Local - Directory Assistance messages - IntraLATA Toll - WATS and 800 Service - N11 - Information Service Provider Messages - Operator Services Messages - Credit/Cancel Records - Usage for Voice Mail Message Service 6.1.2 Rated Incollects (originated in BellSouth and from other companies) can also be on ODUF. Rated Incollects will be intermingled with BellSouth recorded rated and unrated usage. Rated Incollects will not be packed separately. 6.1.3 BellSouth will perform duplicate record checks on records processed to ODUF. Any duplicate messages detected will be deleted and not sent to Quality Telephone. 6.1.4 In the event that Quality Telephone detects a duplicate on ODUF they receive from BellSouth, Quality Telephone will drop the duplicate message and will not return the duplicate to BellSouth).

  • Overnight Delivery When delivered by an overnight delivery service, charges prepaid or charged to the sender’s account, notice is effective on delivery, if delivery is confirmed by the delivery service.

  • PRODUCT DELIVERY Delivery must be made as ordered to the address specified on the Purchase Order and in accordance with the terms of the Contract or Contract Award Notice. Unless otherwise specified in the Bid Documents, delivery shall be made within thirty calendar days after receipt of a Purchase Order by the Contractor. The decision of the Commissioner as to compliance with delivery terms shall be final. The burden of proof for delay in receipt of Purchase Order shall rest with the Contractor. In all instances of a potential or actual delay in delivery, the Contractor shall immediately notify the Commissioner and the Authorized User, and confirm in writing the explanation of the delay, and take appropriate action to avoid any subsequent late deliveries. Any extension of time for delivery must be requested in writing by the Contractor and approved in writing by the Authorized User. Failure to meet such delivery time schedule may be grounds for cancellation of the order or, in the Commissioner’s discretion, the Contract.

  • Delivery of the Beat a. Licensor agrees to deliver the Beat as a high-quality MP3, WAV & TRACKSTEMS, as such terms are understood in the music industry. b. Licensor shall use commercially reasonable efforts to deliver the Beat to Licensee immediately after payment of the License Fee is made.
