Removal of Attachments; City Not Liable. City shall have the power at any time to order and require Company to remove or relocate any part of Company’s System that has been installed without a Wireless Attachment Application or that is dangerous to life or property, or to remove or relocate any part of Company’s System supported by a Pole of City if the Pole is removed or replaced by City. In the event that Company, after receiving written notice, fails or refuses to act within sixty (60) days, or in the case of a notice regarding any exigent circumstance posing a material imminent threat to persons or property within five (5) days, City shall have the power to remove or relocate the same without incurring any liability and Company shall reimburse City for all reasonable costs and expenses plus 15%. City shall not be liable for damages caused by any simple negligence or omissions in its removal or relocation of Company’s facilities. If Company notifies City that transfers, repairs, or other work required under this Agreement are complete and upon traveling to Pole location the work is not complete, City may charge to Company a trip charge.

  • DELIVERY TERMS AND TRANSPORTATION CHARGES Deliverables shall be shipped F.O.B. point of delivery unless otherwise specified in the Supplemental Terms and Conditions. Unless otherwise stated in the Offer, the Contractor’s price shall be deemed to include all delivery and transportation charges. The City shall have the right to designate what method of transportation shall be used to ship the deliverables. The place of delivery shall be that set forth the purchase order.

  • Use of sub-processors (a) The data importer has the data exporter’s general authorisation for the engagement of sub-processor(s) from an agreed list. The data importer shall specifically inform the data exporter in writing of any intended changes to that list through the addition or replacement of sub-processors at least thirty (30) days in advance, thereby giving the data exporter sufficient time to be able to object to such changes prior to the engagement of the sub-processor(s). The data importer shall provide the data exporter with the information necessary to enable the data exporter to exercise its right to object.

  • Use of Attachment Facilities by Third Parties Purpose of Attachment Facilities.‌‌ Except as may be required by Applicable Laws and Regulations, or as otherwise agreed to among the Parties, the Attachment Facilities shall be constructed for the sole purpose of interconnecting the Large Generating Facility to the New York State Transmission System and shall be used for no other purpose.

Should any provision of this Consortium Agreement become invalid, illegal or unenforceable, it shall not affect the validity of the remaining provisions of this Consortium Agreement. In such a case, the Parties concerned shall be entitled to request that a valid and practicable provision be negotiated which fulfils the purpose of the original provision.
