Representations and Warranties of GE Capital. GE Capital represents and warrants to Compound as follows: A. The Seller is the legal and beneficial owner of 100 % of the Assigned Interest, free and clear of any adverse claim or encumbrance (collectively “Liens”) and, except as provided for in this Assignment Agreement, the Assigned Interest is not subject to any prior sale, transfer, assignment or participation by such Lender or any agreement to assign, convey, transfer or participate, in whole or in part, and upon the effectiveness of the transactions contemplated hereby, and the filing of appropriate notice of transfer documents with the Bankruptcy Court in accordance with Bankruptcy Rule of Procedure 3001(e), Compound will own and have good legal and beneficial title to the Proof of Claim, free and clear of all Liens; (i) The Proof of Claim reflects the principal and interest outstanding under the Notes, exclusive of late charges, costs, attorneys’ fees and any and all other fees and penalties provided for in the Loan Documents, as of the Filing Date, (ii) no less than the principal balance of the amount set forth in the Proof of Claim was justly due and owing from the Debtor to GE Capital as of the Filing Date, (iii) such amount remains unpaid and outstanding as of the date hereof, (iv) the Proof of Claim has not been revoked, withdrawn, amended or modified and no right thereunder has been waived, all statements in such Proof of Claim are true and correct as of the date hereof, and no objections have been filed or threatened in writing with respect to the Assigned Interest, and (v) the Proof of Claim was filed prior to any bar date which may have been established by the Bankruptcy Court for filing such proofs of claim; C. GE Capital has not received any notice that (i) any payment or other transfer made to or for the account of GE Capital from or on account of any Assigned Interest is or may be void or voidable as an actual or constructive fraudulent transfer or as a preferential transfer or (ii) the Assigned Interest, or any portion thereof, is void, voidable, unenforceable or subject to any claim, counterclaim, setoff, defense, encumbrance, action, litigation or defect;
Representations and Warranties of GE Capital. GE Capital hereby represents and warrants to Subordinated Creditor that as of the date hereof: (a) GE Capital is a corporation duly formed and validly existing under the laws of the State of Delaware; (b) GE Capital has the power and authority to enter into, execute, deliver and carry out the terms of this Agreement, all of which have been duly authorized by all proper and necessary action; (c) the execution of this Agreement by GE Capital will not violate or conflict with the organizational documents of GE Capital, any material agreement binding upon GE Capital or any law, regulation or order or require any consent or approval which has not been obtained; and (d) this Agreement is the legal, valid and binding obligation of GE Capital, enforceable against GE Capital in accordance with its terms, except as such enforceability may be limited by applicable bankruptcy, insolvency, reorganization, moratorium or similar laws affecting the enforcement of creditors’ rights generally or by equitable principles.

Representations and Warranties of GE Capital. GE Capital hereby represents and warrants to Provider, as of the date hereof: (a) It is a Delaware corporation, duly organized, and validly existing in good standing under the laws of the State of Delaware and has full corporate power and authority to execute, deliver, and perform its obligations under this Agreement; the execution, delivery, and performance of this Agreement have been duly authorized, and are not in conflict with and do not violate any law or regulation applicable to GE Capital, or the terms of the articles or bylaws of GE Capital and will not result in a breach of or constitute a default under or require any consent under any indenture, loan, or agreement to which GE Capital is a party; (b) All approvals, authorizations, licensees, registrations, consents, and other actions by, and notices to, and filings with any person that may be required in connection with the execution, delivery, and performance of this Agreement by GE Capital, have been obtained; (c) There is no material claim nor any material litigation, proceeding, arbitration, investigation, or controversy pending, to which GE Capital is a party, that would adversely affect this Agreement; no such claim, litigation, proceeding arbitration, investigation, or controversy has, to GE Capital’s knowledge, been threatened or is contemplated; to GE Capital’s knowledge, no facts exist which would provide a basis for any such claim, litigation, proceeding, arbitration, investigation, or controversy; and GE Capital is not subject to any agreement with any regulatory authority with respect to its operations adversely affecting this Agreement. (d) GE Capital is not insolvent.
Representations and Warranties of GE Capital. GE Capital represents -------------------------------------------- and warrants as follows: (a) If it elects to do so, GE Capital will purchase the Purchased Shares for its own account, for the purpose of investment and not with a view to distribution or resale thereof. (b) GE Capital understands and agrees that, until registered under the Act, all certificates representing the Purchased Shares shall bear a legend reading substantially as follows: The securities represented by this certificate have not been registered under the Securities Act of 1933, as amended, (the "Act") or applicable state securities laws. These securities may not be offered for sale, sold, delivered after sale, transferred, pledged or hypothecated in the absence of an effective registration statement covering such securities under the Act and any applicable state securities laws, or the availability of an exemption from registration thereunder. (c) GE Capital has had access to information and the opportunity to ask questions of and receive answers from management of Transit Group concerning Transit Group's business, assets, financial condition, results of operations, and liabilities. (d) GE Capital is an "accredited investor" as that term is defined in rule 501 of Regulation D under the Act, and by reason of its business and financial experience, it has such knowledge, sophistication and experience in business and financial matters as to be capable of evaluating the merits and risks of an investment in the Purchased Shares.

  • Representations and Warranties of Xxxxx Xxxxx represents and warrants to Spruce that, as of the Effective Date: (a) it has the full right, power and authority to enter into this Agreement, to grant the rights and licenses granted under Articles 2 and 3, and its execution of this Agreement, the fulfillment of its obligations and performance of its activities hereunder do not conflict with, violate, or breach or constitute a default under any material contractual obligation or court or administrative order by which Lilly is bound; (b) to the knowledge of Lilly, there are no legal claims, judgments or settlements against or owed by Lilly or any of its Affiliates, threatened or pending legal claims or litigation, in each case relating to the Licensed Patents; (c) all necessary consents, approvals and authorizations of all government authorities and other persons required to be obtained by Lilly as of the Effective Date in connection with the execution, delivery and performance of this Agreement have been obtained; (d) it is the owner or exclusive licensee of or otherwise Controls the right, title and interest in and to the Licensed Patents and related Licensed Know-How, and has the right to grant to Spruce the licenses that it purports to grant hereunder and has not granted any Third Party rights that would interfere or be inconsistent with Spruce’s rights hereunder; (e) the Licensed Patents and Licensed Know-How are not subject to any existing royalty or other payment obligations to any Third Party; (f) it has disclosed to Spruce a complete and accurate record of all material information and data relating to the results of all pre-clinical and clinical studies on Licensed Products or the Licensed Compound, conducted by or on behalf of Lilly or any of its Affiliates or otherwise known to Lilly, including, without limitation, the status and interim results of all ongoing clinical and preclinical studies, and the clinical development and Regulatory Application and Regulatory Approval activities undertaken to date, and all such information and data is complete and accurate in all material respects; (g) neither it nor any of its Affiliates has been debarred or is subject to debarment; (h) it has the authority to bind its Affiliates to the terms of this Agreement, as applicable, and to grant the rights and licenses granted on behalf of its Affiliates as set forth herein; (i) all documents required to be filed and all payments required to be made in order to prosecute and maintain each Patent in the Licensed Patents have been filed or made, as the case may be, in a timely manner, and no action has been taken that would constitute waiver, abandonment or any similar relinquishment of such rights; (j) the Licensed Patents constitute all Patents owned by or licensed to Lilly or any of its Affiliates that contain one or more claims covering any Licensed Product or Licensed Compound, or the composition of matter, method of use or manufacture thereof; (k) neither Lilly nor any of its Affiliates is or has been a party to any agreement with any U.S. Governmental Authority pursuant to which any U.S. Governmental Authority provided funding for the Development of any Licensed Compound or any Licensed Product, and the inventions claimed or covered by the Existing Patents are not a “subject invention” as that term is described in 35 U.S.C. Section 201(f); and (l) neither Lilly nor any of its Affiliates, nor any of its or their respective officers, employees, or agents has made an untrue statement of material fact or fraudulent statement to the FDA or any other Regulatory Authority with respect to the Development of any Licensed Compound or Licensed Product, failed to disclose a material fact required to be disclosed to the FDA or any other Regulatory Authority with respect to the Development of any Licensed Compound or any Licensed Product, or committed an act, made a statement, or failed to make a statement with respect to the Development of any Licensed Compound or Licensed Product that could reasonably be expected to provide a basis for the FDA to invoke its policy respecting “Fraud, Untrue Statements of Material Facts, Bribery, and Illegal Gratuities”, set forth in 56 Fed. Reg. 46191 (September 10, 1991) and any amendments thereto or any analogous laws or policies in any other country.

(c) Each of the Agent and its employees, agents and representatives who shall perform any of the services hereunder shall be duly authorized and empowered, and shall have all licenses, approvals and permits necessary to perform such services; and the Agent is a registered selling agent in each of the jurisdictions in which the Shares are to be offered by the Company in reliance upon the Agent as a registered selling agent as set forth in the blue sky memorandum prepared with respect to the Offering. (d) The execution and delivery of this Agreement by the Agent, the consummation of the transactions contemplated hereby and compliance with the terms and provisions hereof will not conflict with, or result in a breach of, any of the terms, provisions or conditions of, or constitute a default (or an event which with notice or lapse of time or both would constitute a default) under, the articles of incorporation or bylaws of the Agent or any agreement, indenture or other instrument to which the Agent is a party or by which it or its property is bound. (e) No approval of any regulatory or supervisory or other public authority is required in connection with the Agent’s execution and delivery of this Agreement, except as may have been received. (f) There is no suit or proceeding or charge or action before or by any court, regulatory authority or government agency or body or, to the knowledge of the Agent, pending or threatened, which might materially adversely affect the Agent’s performance under this Agreement.
