REPRESENTATIONS AND WARRANTIES OF SUBLESSEE. Sublessee represents and warrants to Sublessor (i) that the execution, delivery and performance of this Agreement has been duly authorized, and constitutes the legal, valid and binding obligation of Sublessee, enforceable in accordance with its terms, and that no provision of this Agreement is inconsistent with Sublessee’s charter, by-laws, or any loan or credit agreement or other instrument to which Sublessee is a party or by which Sublessee or its property may be bound or affected, or conflict with any applicable law, rule or regulation, and no claim, action or suit is pending or has been threatened that would adversely affect Sublessee’s ability to enter into or perform its obligations under this Agreement.
REPRESENTATIONS AND WARRANTIES OF SUBLESSEE. The Sublessee represents and warrants to the Sublessor, as an inducement to the Sublessor to enter into this Sublease, that the Sublessee is a duly formed Tennessee limited liability company, that Joe Xxxxxxxxx xxx been authorized to sign the same, and that the Sublessor is not insolvent and will not be rendered insolvent by the execution or performance hereof.

Sublessee represents and warrants that the execution, delivery and performance of this Sublease Agreement and the consummation of the transactions herein contemplated have been duly authorized by the Sublessee (by all requisite corporate action on the part of the Sublessee, if the Sublessee is a corporation) and will not Violate any provision of law, any order of any court or agency of government, or the certificate of incorporation or by-laws of the Sublessee if a corporation, or any indenture, agreement or other instrument to which the Sublessee is a party or bywwhich it or any of its property is bound, or be in conflict with or result in a breach of or constitute (with due notice and/or lapse of time) a default under any such indenture, agreement or other instrument or result in the imposition of any lien, charge of encumbrance of any nature whatsoever.
REPRESENTATIONS AND WARRANTIES OF SUBLESSEE. Sublessee hereby represents and warrants to Sublessor that the following are true and correct as of the Effective Date, and shall be true and correct (and deemed to have been restated) as of the Final Delivery Date:
