(a) Each of DLJMC, in its capacity as Seller and Xxxxx Fargo, in its capacity as the Master Servicer hereby makes the representations and warranties applicable to it set forth in Schedule IIA and IIB, respectively, as applicable, hereto, and by this reference incorporated herein, to the Depositor, the Trustee and the Trust Administrator, as of the Closing Date, or if so specified therein, as of the Cut-off Date or such other date as may be specified.
