Representative of Xxxxx. Xxxxxx; Claims By the TVN Indemnified Persons. --------------------------------------------------------------------- (a) Xxxxx-Xxxxxx'x Chief Financial Officer (or such other representative designated by Xxxxx-Xxxxxx) shall be appointed by Xxxxx-Xxxxxx as its agent for and on its behalf to give and receive notices and communications, to authorize delivery to any TVN Indemnified Person of the amounts due in satisfaction of Claims, to object to such deliveries, to agree to, negotiate, enter into settlements and compromises of, and demand arbitration and comply with orders of courts and awards or arbitrators with respect to such Claims, and to take all actions necessary or appropriate in the judgement of such Xxxxx- Xxxxxx officer for the accomplishment of the foregoing. (b) Subject to Section 5.6 hereof, upon receipt by Xxxxx-Xxxxxx'x Chief Financial Officer (or such other representative designated by Xxxxx- Xxxxxx) (with a copy to Xxxxx-Xxxxxx'x General Counsel) at any time prior to the Indemnification Termination Date of a certificate signed by an officer of TVN (a "TVN Officer's Certificate") providing notice of any Claim and specifying in reasonable detail the date such Damages were paid, incurred or otherwise arose, the nature of the misrepresentation or breach to which such Damages are related, the dollar amount of such Damages and the delivery instructions, if any, to be followed by Xxxxx-Xxxxxx in paying out such Claim (and, prior to the Release Date, stating whether all or any portion of such Damages will be offset against any amounts payable to GRTV under the Promissory Note pursuant to Section 5.3 hereof), Xxxxx-Xxxxxx shall deliver to the TVN Indemnified Person an amount equal to such Damages (less the amount of any such Damages properly offset in accordance with Section 5.3 hereof by TVN or Newco against amounts payable under the Promissory Note), as promptly as practicable, but no later than 30 days after receipt of the TVN Officer's Certificate provided that no such payment or delivery shall be made if Xxxxx-Xxxxxx delivers written notice to TVN prior to the expiration of such 30 day period that Xxxxx-Xxxxxx disputes in good faith the Claim set forth in the TVN Officer's Certificate, with the basis for such dispute set forth in reasonable detail except as otherwise provided in Section 5.4(c) below. Carrying out of: (a) a feasibility study aimed at assessing, costing and testing the options to maximize benefits to be derived from the use of treated wastewater produced from the Greater Tunis area and transferred to rural areas; and (b) an assessment of degraded lands susceptible to being improved through the use of treated wastewater for agricultural purposes, and for adapting and mitigating the impact of climate change. 2. Development of pilot schemes to demonstrate the value and benefits to be derived from the use of treated wastewater to preserve and intensify agricultural production systems on degraded lands. Part C: Institutional Strengthening and Sensitization to Environmental Issues and IPA Methodology 1. Strengthening the capacity of institutions involved in implementation of the Project at the national, regional and local levels including RCADs and ADGs through the provision of logistical support, technical advisory services and adequate training programs. 2. Strengthening the CCU’s capacity to manage the Project efficiently including ensuring adequate monitoring and evaluation, and compliance with all safeguard measures related to implementation of the environment and social protection framework. 3. Development and execution of a communication and sensitization action plan aimed at raising awareness on environmental themes and IPA methodology.

  • Union Representative Visits The Union shall inform the Employer in advance whenever the designated representatives of the Union intend to visit the Employer’s premises for the purpose of conducting Union business. Such visits shall not interfere with the normal operations of the worksite.
