RESALE TERMS AND CONDITIONS. All resales of the Products by Distributor to customers shall be subject to the Product Terms set forth on Exhibit B attached hereto (the “Product Terms”). Prior to or upon delivery of any Product to each customer, Distributor shall provide to such customer a copy of the Product Terms, which shall form part of a contract between Distributor and such customer (and not with Palomar).
