Resolution of Inconsistencies. If there are inconsistencies between this Agreement and the Articles, the Articles will control. If there are inconsistencies between this Agreement and the Act, this Agreement will control, except to the extent the inconsistencies relate to provisions of the Act that the Member cannot alter by agreement.

If there are inconsistencies between this Agreement and the Amended and Restated Private Placement Memorandum, the Amended and Restated Private Placement Memorandum will control. Without limiting the generality of the foregoing, unless the language or context clearly indicates a different intent, the provisions of this Agreement pertaining to the LLC’s governance and financial affairs and the rights of the Members upon Dissociation and dissolution will supersede the provisions of the Act relating to the same matters.

Resolution of Inconsistencies. To the extent there is any inconsistency between the provisions of Sections 3.2 or 3.3, on the one hand, and the Supply Agreements, on the other hand, the terms of the relevant Supply Agreement shall control.
Resolution of Inconsistencies i) This Agreement rescinds and replaces the Kitchens of Xxxx Xxx - Gosford (Enterprise Bargaining) Award 1995 (288 IG 857), The Xxxx Xxx Bakery Gosford Enterprise Agreement 2004 and shall be read and interpreted in conjunction with:
a) The Biscuit & Cake Makers (State) Award
b) The Storemen & Packers General (State) Award
c) The Xxxx Xxx Industrial Agreement, dated 6 August 1990.
ii) To the extent of any inconsistency arising between this Agreement and the Awards and Agreement listed in (i) above, this Agreement shall apply.
