RESTRICTIONS ON SOFTWARE. (a) Each of the Licensees agrees that it shall not sublicense, license, disclose or otherwise make available any part of the Software to any person other than: (i) Each of Licensee's employees who is required to have access to the Software and who has agreed to obligations of confidence consistent with the restrictions set forth in this Agreement; and (ii) each of Licensee's consultants who is required to have access to the Software and who has executed, in advance of any such disclosure, non-disclosure agreements containing obligations of confidence consistent with the restrictions set forth in this Agreement. (b) Each Licensee shall keep the Software in a secure environment and shall take reasonable commercial steps necessary to protect the Software, or any part thereof, from unauthorized disclosure or release. (c) Each Licensee shall be entitled to create a sufficient number of copies of the Software for backup and archival purposes only provided that such Licensee reproduces and applies all copyright notices and any other proprietary rights notices that appear on the original copies supplied by Licensors. Licensees shall not be permitted to adapt, create derivative works of, translate, perform or display publicly, port or otherwise modify the Software. (d) Each of the Licensees agrees that it shall not use the Software for any development or analysis purposes whatsoever and that it shall not decompile or reverse engineer the Software. (e) Each Licensee acknowledges and agrees that Licensors shall own all intellectual property rights in and to the Software.

(f) The foregoing notwithstanding, the Licensees may sublicense use of the object code and any enhancements, upgrades, modifications and new versions of Automated Transportation Activity System a/k/a "Atlas 2000" to Licensees' customers. Any such sublicense shall be on a non-exclusive, non-transferable basis and shall be subject to obligations of confidence consistent with the restrictions set forth in this Agreement.
RESTRICTIONS ON SOFTWARE. The SBMCTV Equipment and MTA/EMTA contain certain components and software which are proprietary to SBMCTV or its licensors. You agree that you will not try to reverse-engineer, decompile or disassemble any software or hardware contained within the SBMCTV Equipment or MTA/EMTA. Such actions are strictly prohibited and may result in the termination of your VoIP Services and legal action.
RESTRICTIONS ON SOFTWARE. The AGNI Equipment contains certain components and software which are proprietary to AGNI or its licensors. Customer agrees not to try to reverse-engineer, decompile or disassemble any software or hardware contained within the AGNI Equipment. Such actions are strictly prohibited and may result in the termination of Customer’s Services and legal action.

You agree that you will not try to reverse-engineer, decompile or disassemble any software or hardware contained within the PC TELCOM Equipment or MTA/EMTA. Such actions are strictly prohibited and may result in the termination of your VoIP Services and legal action.
RESTRICTIONS ON SOFTWARE. NextWave Partner Program Member acknowledges that the Software contains trade secrets of Palo Alto Networks, and, in order to protect such trade secrets and other interests that Palo Alto Networks may have in the Software, NextWave Partner Program Member agrees not to disassemble, decompile or reverse engineer the Software or permit any third party to do so, except, and solely to the extent, if any, that applicable local law requires that such activities be permitted. Except as expressly permitted under this Agreement, NextWave Partner Program Member will not: (i) copy or modify the Software; (ii) use, sublicense, distribute or otherwise transfer the Software; or (ii) provide or make the functionality of the Software available to third parties by means of hosting, application services provider, service bureau, or any other type of services. Palo Alto Networks reserves all right, title and interest in and to the Software not expressly granted by Palo Alto Networks under this Agreement.
RESTRICTIONS ON SOFTWARE. You shall not: (i) modify or create derivative works of the Software; (ii) distribute, market, rent, lease or transfer to any third party the Software or use the Software in any service bureau, time sharing or rental arrangement or otherwise use or allow others to use the Software to or for the benefit of third parties (except as expressly permitted herein); (iii) download, upload, or otherwise export or re-export the Software or any underlying information or technology (or direct product thereof) except in full compliance with all United States and other applicable laws and regulations; nor (iv) remove any product identification, trademark, copyright or other notices. INTELLECTUAL PROPERTY RIGHTS. Subject to your limited license to use the Software as provided above, you agree that Affymetrix owns all copyright, patent, trademark, trade secret, and all other intellectual property rights in the Software and any modifications or enhancements to the Software. You agree that Affymetrix at its sole discretion may incorporate as its own any and all modifications or enhancements you make to the Software and any feedback or guidance you provide regarding the Software. You hereby assign to Affymetrix all rights, title and interest in such modifications, enhancements, feedback and/or guidance and agree to execute all documents necessary to implement such assignment.

RESTRICTIONS ON SOFTWARE. The Parties agree that, except as provided otherwise herein, GreenCourt has no obligation hereunder to deliver a physical copy of the Software to Clerk, and (ii) Clerk shall not (a) reverse engineer, reverse assemble, decompile, or otherwise attempt to derive the source code (or underlying structure or algorithms) from the Software or decode or decrypt any GreenCourt-proprietary data files created by or associated with the Software, or (b) alter, adapt, or modify the Software or otherwise create any derivative works from the Software.

You agree that Affymetrix at its sole discretion may incorporate as its own any and all modifications or enhancements you make to the Software and any feedback or guidance you provide regarding the Software. You hereby assign to Affymetrix all rights, title and interest in such modifications, enhancements, feedback and/or guidance and agree to execute all documents necessary to implement such assignment.
RESTRICTIONS ON SOFTWARE. 4.4.1 Customer may make copies of CRSVIEW and QIK-ACCESS for its own internal use on no more than sixty (60) Customer workstations connected to the main operating system, and for back-up data security purposes, but Customer must inform TSG in writing of how many copies have been made. Customer shall reproduce and include on each copy and on each partial copy of CRSVIEW and QIK-ACCESS any copyright notice and proprietary rights legend contained on or in such systems, as such notice and legend appear on or in the original. 4.4.2 Customer shall make no modifications, alterations, developments or derivative works of CRSVIEW and QIK-ACCESS, SPIRIT or the Hyatt Software, except for the CRSVIEW software, for which Customer may create databases or applications from the ADE. Customer shall own any such databases or applications which Customer creates. Customer shall receive system upgrades and bug fixes for CRSVIEW and QIK-ACCESS at no additional cost, but shall pay TSG for enhancements, modifications or other maintenance or custom development services as a New or Additional Service. Customer shall not reverse engineer, disassemble, compile, reverse compile or decompile CRSVIEW and QIK-ACCESS or SPIRIT. CRSVIEW and QIK-ACCESS and SPIRIT shall only be used for Customer's internal operations or on behalf of the New or Existing Hotels, and shall not be installed at any New or Existing Hotel sites. 4.4.3 Customer shall not make available, sell, transfer, assign, sublease, convey, remarket or sublicense CRSVIEW, QIK-ACCESS, SPIRIT or the Hyatt Software, or any component thereof, to any New or Existing Hotel, or to any person or entity, whether by operation of law or otherwise, without the prior written consent of TSG, which shall not be unreasonably withheld.
