Restrictions on Soliciting Employees. In addition, to protect Buyer against any efforts by Seller or the subsidiaries to cause the Transferred Employees to terminate their employment, Seller, on behalf of itself and its subsidiaries, agrees that for a period of five years following the Closing Date, such person will not directly or indirectly (i) induce any Transferred Employee to leave Buyer or to accept any other employment or position (including with Seller or any of the subsidiaries), or (ii) assist any other entity in hiring any Transferred Employees.
Restrictions on Soliciting Employees. In addition, to protect Buyer against any efforts by Seller or the Subsidiaries to cause the Rehired Employees to terminate their employment, Seller, on behalf of itself and the Subsidiaries, agrees that for a period of 1.5 years following the Closing Date, such Person will not directly or indirectly (i) induce any Rehired Employee to leave Buyer or to accept any other employment or position (including with Seller or any of the Subsidiaries), or (ii) assist any other entity in hiring any Rehired Employee.
Restrictions on Soliciting Employees. Each Sunbelt Shareholder will not, for three years following the Closing Date, directly or indirectly, induce or attempt to induce, or cause any employee of NSI or any Affiliate thereof during the last six months of his or her own employment to leave the employ of NSI or any Affiliate thereof or in any way interfere with the relationship between NSI or any Affiliate thereof, on the one hand, and any such employee thereof, on the other hand, or to work for any other entity or business.
Restrictions on Soliciting Employees. In addition, to protect Buyer against any efforts by Seller to cause employees of the Business to terminate their employment, Seller agrees that for a period of five years following the Closing Date, Seller will not directly or indirectly (i) induce any employee of the Business with a then current compensation of more than $30,000 annually to leave Buyer or to accept any other employment or position, or (ii) assist any other entity in hiring any such employee.
Restrictions on Soliciting Employees. In addition, to protect Buyer against any efforts by Seller or any of Seller's Affiliates to cause employees of the PRC Companies as of the date of this Agreement to terminate their employment, Seller agrees that for a period of three years following the Closing Date, neither Seller nor any of its Affiliates will, directly or indirectly (i) induce any employee of the PRC Companies as of the date of this Agreement with a then current compensation of more than $50,000 annually to leave any of the PRC Companies or to accept any other employment or position, or (ii) assist (other than normal employment recommendations) any other Person in hiring any such employee.

In addition, to protect Buyer against any efforts by Seller to cause employees of Company to terminate their employment, Seller agrees that for a period of four years following the Closing Date, Seller will not directly or indirectly (i) induce any employee of Company to leave Company or to accept any other employment or position, or (ii) assist any other entity in hiring any such employee. Buyer agrees that for a period of four years following the Closing Date, Neither Buyer nor Company will directly or indirectly (i) induce any employee of Seller to leave Seller or to accept any other employment or position, or (ii) assist any other entity in hiring any such employee.
Restrictions on Soliciting Employees. In addition to the foregoing covenants, to protect Buyer against any efforts by Seller to cause Buyer’s employees to terminate employment, Seller agrees that during the Restricted Period, Seller will not, directly or indirectly, other than the termination of Seller’s employees prior to Closing for the purpose of becoming employed by Buyer, (i) induce, entice or solicit any employee of the Business to leave or to accept any other employment or position, or (ii) make referrals to, or otherwise assist, any other Entity in hiring any such employee; provided, however, the foregoing shall not prohibit general solicitations of employment not specifically directed toward Continuing Employees or the hiring of such employees in response thereto, nor the hiring, employment or engagement of any Continuing Employee who presents himself or herself for employment without direct or indirect solicitation by Seller or any Affiliate of Seller.
Restrictions on Soliciting Employees. In addition, to protect Buyer against any efforts by Seller to cause employees of the GCI Business to terminate their employment, Seller agrees that for a period of five (5) years following the Closing Date, so long as Buyer is engaged in activities similar to the GCI Business, Seller will not directly or indirectly (i) induce any employee of the GCI Business or of Buyer, to leave Buyer or to accept any other employment or position, or (ii) assist any other entity in hiring any such employee.
Restrictions on Soliciting Employees. (a) To protect Buyer against any efforts by Guarantors to cause employees, sales or other representatives or venturers, partners or members of Buyer ("Covered Persons") to terminate their employment or relationship with Buyer, each Guarantor agrees that (i) in the case of an employee or sales or other representative, for so long as such person is employed or engaged by Buyer; and (ii) in the case of a venture, partnership or other joint business arrangement, until the expiration of any contractual arrangement between Buyer, on the one hand, and the applicable Covered Person, on the other hand, the Securityholder will not directly or indirectly (A) induce any Covered Person to leave or cease doing business with Buyer or to accept any other employment or position, (B) assist any other entity in hiring or doing business with any Covered Person or (C) otherwise interfere with Buyer's relationship (contractual or otherwise) with any Covered Person.
(b) Guarantors recognize and agree that a breach by either of them of this non-solicitation covenant could cause irreparable harm to Buyer, that Buyer's remedies at law in the event of such breach would be inadequate, and that, accordingly, in the event of such breach a restraining order or injunction or both may be issued against any Guarantor, in addition to any other rights and remedies which are available to Buyer. If this Section 6 is more restrictive than permitted by the Laws (as defined in the Asset Purchase Agreement) of any jurisdiction in which Buyer seeks enforcement hereof, this Section 6 shall be limited to the extent required to permit enforcement under such Laws. If, in any judicial proceeding, a court shall refuse to enforce any of the covenants deemed included in this Section 6 in any place or as to any Covered Person, then the unenforceable covenant shall be deemed eliminated from these provisions for the purpose of those proceedings only to the extent necessary to permit the remaining covenants to be enforced as to other locations or Covered Persons.
Restrictions on Soliciting Employees. During my employment and for a period of one year immediately following my employment, I shall not, directly or indirectly, engage or participate in the solicitation or attempt to solicit fellow employees to work for any business that is in competition in any manner whatsoever with the Company’s business.
