Restrictions on Soliciting Employees. In addition, to protect Buyer against any efforts by Seller or the subsidiaries to cause the Transferred Employees to terminate their employment, Seller, on behalf of itself and its subsidiaries, agrees that for a period of five years following the Closing Date, such person will not directly or indirectly (i) induce any Transferred Employee to leave Buyer or to accept any other employment or position (including with Seller or any of the subsidiaries), or (ii) assist any other entity in hiring any Transferred Employees.
Restrictions on Soliciting Employees. In addition, to protect Buyer against any efforts by Seller or the Subsidiaries to cause the Rehired Employees to terminate their employment, Seller, on behalf of itself and the Subsidiaries, agrees that for a period of 1.5 years following the Closing Date, such Person will not directly or indirectly (i) induce any Rehired Employee to leave Buyer or to accept any other employment or position (including with Seller or any of the Subsidiaries), or (ii) assist any other entity in hiring any Rehired Employee.
Restrictions on Soliciting Employees. Each Sunbelt Shareholder will not, for three years following the Closing Date, directly or indirectly, induce or attempt to induce, or cause any employee of NSI or any Affiliate thereof during the last six months of his or her own employment to leave the employ of NSI or any Affiliate thereof or in any way interfere with the relationship between NSI or any Affiliate thereof, on the one hand, and any such employee thereof, on the other hand, or to work for any other entity or business.

In addition, to protect Buyer against any efforts by Seller or any of Seller's Affiliates to cause employees of the PRC Companies as of the date of this Agreement to terminate their employment, Seller agrees that for a period of three years following the Closing Date, neither Seller nor any of its Affiliates will, directly or indirectly (i) induce any employee of the PRC Companies as of the date of this Agreement with a then current compensation of more than $50,000 annually to leave any of the PRC Companies or to accept any other

In addition to the foregoing covenants, to protect Buyer against any efforts by Seller to cause Buyer’s employees to terminate employment, Seller agrees that during the Restricted Period, Seller will not, directly or indirectly, other than the termination of Seller’s employees prior to Closing for the purpose of becoming employed by Buyer, (i) induce, entice or solicit any employee of the Business to leave or to accept any other employment or position, or (ii) make referrals to, or otherwise assist, any other Entity in hiring any such employee; provided, however, the foregoing shall not prohibit general solicitations of employment not specifically directed toward Continuing Employees or the hiring of such employees in response thereto, nor the hiring, employment or engagement of any Continuing Employee who presents himself or herself for employment without direct or indirect solicitation by Seller or any Affiliate of Seller.

In addition, to protect Buyer against any efforts by Seller to cause employees of Company to terminate their employment, Xxxxxx agrees that for a period of four years following the Closing Date, Seller will not directly or indirectly (i) induce any employee of Company to leave Company or to accept any other employment or position, or (ii) assist any other entity in hiring any such employee. Xxxxx agrees that for a period of four years following the Closing Date, Neither Buyer nor Company will directly or indirectly (i) induce any employee of Seller to leave Seller or to accept any other employment or position, or (ii) assist any other entity in hiring any such employee.
Restrictions on Soliciting Employees. During the Term, Shareholder shall not, and shall cause each of its directors, officers, employees, agents, assigns, Affiliates and Representatives (collectively, the "Related Parties") not to, without the prior written approval of the Parent, directly or indirectly, solicit, hire, employ, or intentionally encourage, entice or induce, or assist any other Person in so doing, as an employee or independent contractor, any individual who is an employee of the Company or any Company Subsidiary as of the date hereof (i) with a base salary in excess of $100,000, (ii) with a title of vice president or above or (iii) who is employed in a sales position (exclusive of employees who serve in principally administrative support position); provided, however, that the foregoing prohibitions shall not be deemed to be violated by any general solicitation of employment not specifically directed at such employees, including advertising of open positions, participating in job fairs or other generalized forms of solicitation or response to unsolicited inquiries about employment opportunities or if any such person contacts Shareholder of his or her own initiative without any direct or indirect solicitation by, or encouragement from, Shareholder.
Restrictions on Soliciting Employees. In addition, to protect each party against any efforts by the other to cause Employees or Persons employed by either to terminate their employment, each party agrees that for a period of two years following the Closing Date, it will not directly or indirectly (i) induce any Employee or Person employed by the other to leave their employment or to accept any other employment or position or (ii) assist any other Person in hiring any such Employee or Person employed by the other. This restriction shall not apply to employment by the Buyers of Employees within the 90-day period following the Closing.

In addition, to protect Buyer against any efforts by the Shareholders to cause employees of the Company to terminate their employment, the Shareholders agree that until the end of the Non-Competition Period, the Shareholders will not directly or indirectly (i) induce any employee of the Company with a then current compensation of more than $20,000 annually to leave the Company or to accept any other employment or position, or (ii) assist any other entity in hiring any such employee.
