Rights upon Termination for Convenience. In the event of termination under Section 17.1 of this Schedule 2 [General Conditions], BC Hydro will, in full satisfaction of all Claims the Contractor may have, pay the Contractor: all compensation owed in accordance with the Contract for all Work performed, including all materials and equipment supplied for incorporation into the Work, in accordance with the Contract up to the date of the termination; all reasonable and substantiated third party cancellation charges, if any, incurred by the Contractor to the date of termination, provided such charges could not have been reasonably avoided or mitigated by the Contractor; the Direct Costs to demobilize from the Site; and other Direct Costs incurred for materials that: (i) have been purchased or processed by the Contractor pursuant to the Contract; (ii) the Contractor is unable to return; and (iii) meet all of the Contract requirements, provided that upon payment by BC Hydro, BC Hydro will have clear title to such materials.
