RSO. 1990 as amended and/or, the City of Toronto Act, 2006 as amended, (collectively referred to as the “Park Levies” or individually as a “Park Levy”). For the purposes of calculating the increase such increases shall include increases based on any change to any specified levy amount, any increases due to the increase in value of the underlying lands, any change in the date of calculation of the Park Levies and/or any change or amendment in the foregoing legislation. In the event that any Park Levies are levied against the Property, or any portion thereof, the amount to be reimbursed by the Purchaser in respect of this transaction shall be the amount of the Park Levy attributable to the Dwellings or if the Park Levies or Park Levy are invoiced against the Lands as a whole, the Purchaser shall pay his or her proportionate share of the Park Levies or Park Levy charges as determined reasonably by the Vendor;

  • Anti-Bribery RECIPIENT and SANOFI agree that the arrangements set out in this Agreement do not take effect and are not intended to take effect as an incentive or reward for a person’s past, present or future willingness to prescribe, administer, recommend (including formal recommendations), purchase, pay for, reimburse, authorize, approve or supply any product or service sold or provided by SANOFI or as an incentive to grant an interview for any sales or marketing purposes. RECIPIENT warrants, that it will comply with the requirements of all applicable anti-bribery regulations, codes and/or sanctions, both national and foreign, including but not limited to the US Foreign Corrupt Practices Act, the UK Bribery Act and the OECD Convention dated 17th December 1997 (the “Anti-Bribery Laws”) and; therefore that it has not and will not make, promise or offer to make any payment or transfer anything of value (directly or indirectly) to (i) any individual, (ii) corporation, (iii) association, (iv) partnership, or (v) public body, (including but not limited to any officer or employee of any of the foregoing) who, acting in their official capacity or of their own accord, are in a position to influence, secure or retain any business for (and/or provide any financial or other advantage to) SANOFI by improperly performing a function of a public nature or a business activity with the purpose or effect of public or commercial bribery, acceptance of or acquiescence in extortion, kickbacks or other unlawful or improper means of obtaining or retaining business. RECIPIENT shall keep detailed and up to date books of the account and records of all acts and payments made by it in relation to this Agreement for a minimum period of seven (7) years and at SANOFI request make them available for inspection. RECIPIENT will ensure that such books of account and records are sufficient to enable SANOFI to verify their compliance with this section of the Agreement. Breach by the RECIPIENT of the terms of this Section will be deemed a material breach of this Agreement and SANOFI may immediately terminate this Agreement at any time, with immediate effect and without any opportunity to remedy the breach by the RECIPIENT, by giving notice in writing to the RECIPIENT. The rights to terminate this Agreement under this Section will be without prejudice to any other right or remedy SANOFI may have accrued up to the date of termination.

  • Vynálezy Zadavatel je vlastníkem všech práv k jakémukoli vynálezu, objevu, know-how, obchodnímu tajemství a k jinému duševnímu vlastnictví, včetně veškerých patento- vatelných i jiných technických zhodnocení, vy- tvořených, prakticky uplatněných nebo jinak zpracovaných ze strany ZZ, Hlavního zkoušející- ho nebo jednoho nebo více Členů týmu klinické- ho hodnocení (samostatně nebo společně s jiný- mi) (jednotlivě dále jen „Vynálezce“), které sou- visejí s Hodnocenými materiály nebo s jakýmikoli jejich indikacemi nebo užitím (spo- lečně dále jen „Vynálezy produktů“). Zdravot- nické zařízení tímto neodvolatelně postupuje a převádí a zajistí, aby každý Vynálezce neprodle- ně neodvolatelně postoupil a převedl Zadavateli bez další úplaty veškerá svá majetková práva k patentům, patentovým přihláškám a právo po- žádat o patentovou ochranu takových Vynálezů produktů, včetně písemného zpřístupnění kon- cepce, praktického uplatnění a vytvoření takové- ho Vynálezu produktu. Bez omezení platnosti výše uvedeného ustanovení nebo všech jiných práv nebo prostředků nápravy, která Zadavatel může mít k dispozici, platí, že pokud některý Vynález produktu nebude možno z jakéhokoli důvodu postoupit nebo převést Zadavateli, Zdra- votnické zařízení tímto uděluje a zajistí, aby kaž- dý Vynálezce udělil Zadavateli výhradní, celo- světovou, trvalou, neodvolatelnou a bezplatnou licenci k užívání takového Vynálezu produktu za jakýmkoli účelem, s právem udělovat několika- násobné podlicence k této licenci.

  • Local Business Enterprise and Non-Discrimination in Contracting Ordinance Contractor shall comply with all applicable provisions of Chapter 14B (“LBE Ordinance”). Contractor is subject to the enforcement and penalty provisions in Chapter 14B.

  • ETHICS IN PUBLIC CONTRACTING This Contract incorporates by reference Article 9 of the Arlington County Purchasing Resolution, as well as all state and federal laws related to ethics, conflicts of interest or bribery, including the State and Local Government Conflict of Interests Act (Code of Virginia § 2.2-3100 et seq.), the Virginia Governmental Frauds Act (Code of Virginia § 18.2-498.1 et seq.) and Articles 2 and 3 of Chapter 10 of Title 18.2 of the Code of Virginia, as amended (§ 18.2-438 et seq.). The Contractor certifies that its proposal was made without collusion or fraud; that it has not offered or received any kickbacks or inducements from any other offeror, supplier, manufacturer or subcontractor; and that it has not conferred on any public employee having official responsibility for this procurement any payment, loan, subscription, advance, deposit of money, services or anything of more than nominal value, present or promised, unless consideration of substantially equal or greater value was exchanged.

  • Public Outreach The Sponsor is responsible for development and administration of a public outreach effort to ensure public awareness and involvement in the Project development and delivery process. The Sponsor shall provide a copy of the public outreach plan and all materials documenting the public outreach activities, including public notices, press releases, flyers, etc. to the Authority. The public outreach plan must accompany the first invoice for payment from Sponsor. The materials documenting the public outreach activities must accompany the final invoice for payment from Sponsor.
