RULE 144 TRANSACTIONS. 4.1 Undertaking to File Reports and Cooperate in Rule 144 Transactions. For as long as the Holders continue to hold any Acquired Shares, Motient shall use its commercially reasonable efforts to file with the SEC, on a timely basis, all annual, quarterly and other periodic reports required to be filed by it under Sections 13 and 15(d) of the Exchange Act, and the rules and regulations thereunder; provided, however, that the foregoing shall not be construed to require Motient to prepare and file periodic reports if it is not required to do so under the Exchange Act. In the event of any proposed sale by any Holder of Acquired Shares pursuant to Rule 144 under the Securities Act or otherwise as provided herein, which sale is to be made in accordance with the terms of Section 5.1(b) hereof, Motient shall use its commercially reasonable efforts to cooperate with such Holder so as to enable such sales to be made in accordance with applicable laws, rules and regulations, the requirements of the transfer agent of Motient, and the reasonable requirements of the broker through which the sales are proposed to be executed, and shall, upon written request, furnish unlegended certificates representing ownership of Acquired Shares sold thereby, such certificates to be furnished in such numbers and denominations as such Holder may reasonably request.

RULE 144 TRANSACTIONS. SkyTerra shall use reasonable best efforts to file with the SEC, on a timely basis, all annual, quarterly and other periodic reports required to be filed by it under Sections 13 and 15(d) of the Exchange Act, and the rules and regulations thereunder for so long as such disclosure is required to allow sales of Registrable Securities pursuant to Rule 144 under the Securities Act; provided, however, that the foregoing shall not be construed to require SkyTerra to prepare and file periodic reports if it is not required to do so under the Exchange Act. In the event of any proposed sale by any Holder of Registrable Securities pursuant to Rule 144 under the Securities Act or otherwise as provided herein, SkyTerra shall use its reasonable best efforts to cooperate with such Holder so as to enable such sales to be made in accordance with applicable laws, rules and regulations, the requirements of the transfer agent of SkyTerra, and the reasonable requirements of the broker through which the sales are proposed to be executed, and shall, upon written request, furnish unlegended certificates representing ownership of Registrable Securities sold thereby, such certificates to be furnished in such numbers and denominations as such Holder may reasonably request.
RULE 144 TRANSACTIONS. 5.9(a) At all times after the Effective Date, and subject to the holding period restriction set forth in Section 3.19(f), Buyer covenants that (i) it will, upon the request of any Shareholder, use its reasonable best efforts to, to the extent any Shareholder is relying on Rule 144 under the Securities Act to sell any of the Buyer common stock, make “current public information” available, as provided in Section (c) of Rule 144, and (ii) it will take such further action (which shall not include the furnishing of any legal opinions of counsel to the Buyer) as any Shareholder may reasonably request from time to time to enable such Shareholder to sell its Buyer Common Stock without registration under Rule 144 of the Securities Act or any similar rule or regulation hereafter adopted by the SEC; provided that Buyer shall not be required to take any action described in this Section 5.9 that would cause Buyer to become or remain subject to the reporting requirements of Section 13 or 15(d) of the Exchange Act. From time to time, upon the request of any Shareholder, Buyer will deliver to such Shareholder a written statement as to whether it has complied with the requirements of Rule 144(c).

In the event of any proposed sale by Precision of Common Shares pursuant to Rule 144 under the Securities Act or otherwise as provided herein, which sale is to be made in accordance with the terms of Section 5.1(b) hereof, Weatherford shall cooperate with Precision so as to enable such sales to be made in accordance with applicable laws, rules and regulations, the requirements of the transfer agent of Weatherford, and the reasonable requirements of the broker through which the sales are proposed to be executed, and shall, upon request, furnish unlegended certificates representing ownership of the shares of Common Shares sold thereby, such certificates to be furnished in such numbers and denominations as Precision may reasonably request.

Upon the request of any Holder or beneficial owner of Registrable Securities, the Company will deliver to such Holder a written statement as to whether it has complied with such requirements.

  • Prohibition of Short Sales and Hedging Transactions The Investor agrees that beginning on the date of this Agreement and ending on the date of termination of this Agreement as provided in Section 11, the Investor and its agents, representatives and affiliates shall not in any manner whatsoever enter into or effect, directly or indirectly, any (i) “short sale” (as such term is defined in Rule 200 of Regulation SHO of the Exchange Act) of the Common Stock or (ii) hedging transaction, which establishes a net short position with respect to the Common Stock.
