’S RESPONSIBILITIES. 4.1 The Consultancy acknowledges that the Company and its Clients are relying on the Consultancy’s skill, expertise and experience in the performance of the Services. Accordingly, the Consultancy shall be responsible for specifying to the Company in sufficient detail what information is reasonably required from the Company to enable the Consultancy to perform the Services. The Consultancy shall review all such information supplied by the Company and shall promptly notify the Company of any further information reasonably required.
4.2 The Consultancy undertakes to read and review each Project Assignment Details Form it accepts and undertakes to ensure that each Representative has understood and agreed to the terms of the Project Assignment. The Company will deem the Consultancy’s acceptance of a new Project Assignment if the Consultancy and/or the Representative attend the Project Assignment to perform the Services or the Consultancy’s agreement to do so when the Company communicated the Project Assignment to the Company.
4.3 The Consultancy shall provide the Company with information regarding itself and its Representative, including but not limited to CVs, which is accurate, complete and true. Prior to the commencement of a Project Assignment, the Consultancy shall provide the Company with an up-to- date work history for the person providing the Services to the Client.
4.4 The Consultancy agrees to notify the Company immediately if it at any time it provides its services to the Company’s Clients through another employment business.
4.5 The Consultancy shall keep safe and secure and shall take all reasonable care of any equipment belonging to the Company or its Clients while in the possession or control of the Consultancy.
4.6 The Consultancy shall ensure at all times, in the course of performance of the Services, that the Consultancy and all of its Representatives shall comply with all relevant statutory requirements, regulations and approved codes of practice relating to health and safety at work.
4.7 For Health and Safety reasons the Consultancy shall not permit any Representative to work in excess of 12 hours in any 24 hour period or 14 hours including travelling time in any 24 hour period or more than 13 days in any 14 day period unless given authorisation by the Company. This will only be given if a suitable risk assessment of the task has been received from the Client or undertaken by the Company.

’S RESPONSIBILITIES. Party A shall provide a roofed workshop with area of 600 sqm and 30-60 production workers, to process the above-mentioned products for Party B during the term of this Agreement. The processed products shall be delivered back to Party B for re-export to Hongkong or other countries.
’S RESPONSIBILITIES. 6.1 Tower 48 shall:
a. at all times during the term of this Agreement, retain the deposited Deposit Material in a safe and secure environment;
b. inform the Depositor and Beneficiary via email to the Depositor and Beneficiary registered email addresses provided via Tower 48's web interface of the receipt of any deposit of the Deposit Material, at Tower 48's sole discretion, but Tower 48 is under no obligation to do so (Tower 48 shall not be responsible for email lost due to spam filtering or similar unreliability issues inherient to email); and
c. notify the Depositor and the Beneficiary if it becomes aware at any time during the term of this Agreement that the copy of the Deposit Material held by it has been lost, damaged or destroyed so that a replacement may be obtained.
6.2 In the event of failure by the Depositor to deposit any Deposit Material with Tower 48, Tower 48 shall not be responsible for procuring such deposit and may, at its sole discretion, notify the Beneficiary of the Depositor's failure to deposit any Material.
’S RESPONSIBILITIES. 6.1 H3G shall cooperate with TCS and assist TCS to provide the Support Services in the following ways:
’S RESPONSIBILITIES. In addition to any specific tasks, functions ------------------------ or projects for which PwCES is given responsibility as Services in this Agreement and relevant Exhibits, PwCES shall perform the following responsibilities during the term of this Agreement.
’S RESPONSIBILITIES. SV will carryout and complete the Design, Construction and Maintenance of the works, and remedy any defects therein in conformity in all respects.
’S RESPONSIBILITIES. 4.1 Licensor shall set up and activate Licensee’s Online Access promptly upon receipt of the Fees and receipt of the information to be supplied by the Licensee in accordance with clause 3.1.
4.2 Following activation of Licensee’s account, Licensor shall (subject to the other provisions of this clause 4) use reasonable endeavours to:
4.2.1 provide Licensee with continuing Online Access throughout the Subscription Period or as required pursuant to clause 2.1; and
4.2.2 ensure that the Server has sufficient capacity and rate of connectivity to provide Licensee with a level of service which is commensurate with the current standards in the online information industry sector.
4.3 Licensor may temporarily suspend the Licensee’s Online Access for the purposes of maintenance or upgrades but will use its reasonable endeavours to: (i) notify Licensee in advance of such activities; (ii) carry out these activities where practicable during non- working hours; and (iii) minimise the period of suspension or interruption.
4.4 In relation to any Product made available via Online Access Licensor reserves the right at any time on notice to Licensee to:
4.4.1 make changes or corrections and to alter, update or upgrade any aspect of the Product;
4.4.2 vary the technical specification of any Product or of any software included therein; and
4.4.3 withdraw the Product (or any part) where it has decided to cease publication of that Product.
4.5 Where Licensor withdraws a Product or a material part thereof in accordance with clause 4.4.3, if Licensee purchased the withdrawn Product on a perpetual basis, the withdrawn Product shall be provided to Licensee in pdf format (or such other electronic format as Licensor in its sole discretion determines), otherwise Licensor may in its sole discretion either offer broadly equivalent replacement materials or a credit in respect of the unexpired portion of the Subscription Fee or Annual Access Fee in relation to the withdrawn Product (or part thereof). The provision of a pdf copy, replacement or credit (as applicable) shall discharge Licensor’s liabilities to Licensee in respect of the withdrawn material.
4.6 For such period that Licensee is entitled to Online Access, Licensor agrees to provide Licensee with access to usage data, and where available, usage reports detailing the level of use of any Subscription Product(s) by Licensee’s Authorised Users per month. ’S RESPONSIBILITIES. The Town shall:
1. Reimburse CH2M HILL OMI for costs for repairs, purchasing water meters and biosolids disposal as defined in other sections of this Agreement. CH2M HILL OMI shall not markup invoices associated with these activities.
a. Directly pay for all utility costs, except for Items listed in Section 2.24.
b. Provide for all Capital Expenditures.
c. Maintain all existing Project warranties, guarantees, easements, and licenses that have been granted to the Town.
d. Pay any ad valorem or franchise taxes or fees associated with the Project.
e. Provide for CH2M HILL OMI’s use of the Town’s vehicles and equipment presently in use at the Project.
f. In the event of emergencies (and upon request), provide CH2M HILL OMI with temporary use of available pieces of the Town’s equipment (not listed in Appendix E) needed by CH2M HILL OMI to discharge its obligations under this Agreement in a cost-effective manner. If such equipment is not available in the event of such emergencies, CH2M HILL OMI may request approval from the Town to rent such equipment and invoice the Town as a “repair”.

The officers of the company are the President, Vice President, Secretary and Assistant Secretary; If a policy does not go into effect, the company's sole liability will be to refund any premium paid, plus interest if required by law; No change in or waiver of anything in this application or alteration of an insurance policy is binding unless it is in writing and signed by an officer of the company; and By accepting a policy, the owner ratifies any changes entered at any time on the Home Office Endorsement form attached to the policy. However, the owner must sign a separate written document for any change in type of plan, amount, benefits or insured's risk classification. (Not applicable in New Hampshire, New Jersey and West Virginia.) Any insurance provided by this agreement will be subject to the conditions and terms of the policy applied for.
