Sale and Purchase Obligation. During the Term and subject to the provisions of this PPA, Seller shall sell and deliver or cause to be delivered, and Buyer shall purchase and receive or cause to be received, one hundred percent (100%) of the Solar Products generated by the Facility up to the Nameplate Capacity. Buyer is not obligated to purchase Solar Products from any replacement facility or Solar Products delivered to any point other than the Delivery Point. Buyer shall have the right to resell the Solar Products.

If and to the extent that Buyer requests the Facility to provide Ancillary Services within its capability, Buyer and Seller acknowledge and agree that such provision of Ancillary Services may result in a reduction of the amount of other SolarFuel Cell Products generated by the Facility. Seller shall not receive reimbursement or any other compensation for such reduction.
Sale and Purchase Obligation. Seller shall mine, manufacture and sell to Purchaser, and Purchaser shall purchase and accept from Seller, the Coal in quantities constituting one hundred percent (100%) of Purchaser's requirements, subject to Schedule A, Terms and Conditions of the agreement, of coal during the Term. The size, quantities, quality and specifications of such coal shall be as provided on Schedule C and incorporated herein by reference.

Sale and Purchase Obligation. 4.4.1 Sale and Purchase of Net Energy Output SOLAR POWER PURCHASE AGREEMENT BETWEEN KAB GREE SOLAR SDN. BHD. [REGISTRATION NO. 202101021849 (1422149-H)], A DIRECT SUBSIDIARY OF THE COMPANY, WITH XXXXX XXXXXXX HOLDINGS BERHAD [REGISTRATION NO. 199101011136 (221448-A)]
(i) The Customer shall accept and purchase solely on a self-consumption (SELCO) basis all Net Energy Output (including Test Energy) which is generated by the Solar PV System;
(ii) the Customer shall take and pay for all the Net Energy Output (including Test Energy) delivered or capable of being generated and delivered by the Solar PV System;
(iii) The SPS Owner shall not be responsible for making arrangement for the use of any excess energy output which is generated by the Solar PV System but is not utilised by the Customer; and
(iv) The Customer shall pay the SPS Owner for the Net Energy Output (including Test Energy).

The award of contract sale will be based on the aggregate offer (Total Contract Price) to purchase in response to the solicitation of September 26, 2022, and execution of this Agreement.
